Termination of a Service Schedule. Termination of Service Schedule in whole or in part will not affect the terms of the remaining Service Schedules and the Agreement and such terms will remain in full force and effect.
Termination of a Service Schedule. Except as otherwise provided in a Service Schedule, either Party shall have the right to elect to terminate a Service Schedule after the Initial Term, by providing to the other Party not less than 90 calendar days prior written notice of termination, to expire on the first Anniversary or any subsequent Anniversary thereof. In the event of any such termination of a Service Schedule, bluesource shall be entitled to invoice the Company for any non-cancellable expenses properly incurred in connection with such Service Schedule which bluesource is unable to mitigate and any invoices related to such terminated Service Schedule shall be paid by the Company within thirty (30) calendar days of receipt of such invoice (and the amount payable by the Company shall in no event exceed the amount that would have been due to bluesource under the Service Schedule during the Initial Term). In the event of termination for convenience of any Service Schedule by the Company, bluesource shall not be required to refund any payments previously made pursuant to such Service Schedule. In the event of termination for convenience of any Service Schedule by bluesource, bluesource shall be obligated to refund the Company any fees already paid for work not yet performed, including, a pro rata share of any payments made in advance with respect to Services to be performed over the course of a longer period of time.
