Termination of Subleases. Upon the expiration or any termination of this Lease, any and all Subleases or other rights of parties acting by and through Tenant shall terminate without further action unless Landlord takes an action to assume the agreements as set forth in Section 18.7.

Termination of Subleases. Notwithstanding any provision of this Article 7, the rights and obligations of the Parties with respect to the Subleases, including, without limitation, the term or termination of any Sublease, shall be governed by the terms and provisions of the applicable Sublease, and the provisions of this Article 7 shall be inapplicable thereto.
Termination of Subleases. Within three months following the Closing Date, the Buyer shall notify the Sellers in writing if the Buyer desires to terminate any sublease arrangement in the offices currently occupied by the Company or one of the Subsidiaries in Canada, Italy or Japan. If the Buyer desires to terminate any such sublease arrangement, the Buyer shall pay the Sellers an amount equal to 50% of the remaining obligations under such sublease arrangement from the date of such payment through the end of the term of such sublease arrangement. Upon receipt of such payment, the Sellers shall, or shall cause their Affiliates to, terminate such sublease arrangement, such termination to be effective as of the date of such payment.
Termination of Subleases. (a) The Subleases will be terminated in their entirety on October 1, 2020 (the “Termination Date”) and after the Termination Date Subtenants shall have no liability to Sublandlord under the Subleases or otherwise in connection with the Premises and Sublandlord shall have no liability to Subtenants under the Subleases if any, except for obligations arising under this Agreement.

Termination of Subleases. If this Lease is terminated by Lessor prior to the expiration of the term hereof, Lessor agrees that, subject to the conditions hereinafter set forth, such termination shall not result in a termination of any bona fide sublease entered into by Lessee pursuant to Section 13.02 hereof of all or any portion of the Premises and that any such sublease shall continue for the duration of its term and any extension thereof as a direct lease between Lessor and the sublessee thereunder with the same force and effect as if Lessor hereunder had originally entered into such sublease as the lessor thereunder. The application of the provisions of this Section 13.03 shall be conditioned upon (i) the sublease being submitted to Lessor for recognition and Lessor failing to object thereto by written notice to the sublessee at its address shown in the lease within thirty (30) days after the date of the receipt thereof by Lessor, (ii) the sublessee under the lease agreeing, in the event of the termination of this Lease, to attorn to Lessor, (iii) the sublease being in good standing at the time of the termination of this Lease and (iv) that the sublease be for a use authorized and not prohibited by the provisions of Section 6.02 hereof. On the satisfaction of the foregoing conditions and on request and at Lessee's expense, Lessor agrees to execute, acknowledge and deliver such reasonable agreements evidencing and agreeing to the foregoing as said sublessee may reasonably require.

  • Termination of Lease Landlord may terminate Tenant’s interest under the Lease, but no act by Landlord other than notice of termination from Landlord to Tenant shall terminate this Lease. Landlord shall be entitled to either collect damages from Tenant monthly on the days on which rent or other amounts would have been payable under the Lease, or alternatively, Landlord may accelerate Tenant’s obligations under the Lease and recover from Tenant: (i) unpaid rent which had been earned at the time of termination; (ii) the amount by which the unpaid rent which would have been earned after termination until the time of award exceeds the amount of rent loss that Tenant proves could reasonably have been avoided; (iii) the amount by which the unpaid rent for the balance of the term of the Lease after the time of award exceeds the amount of rent loss that Tenant proves could reasonably be avoided (discounting such amount by the discount rate of the Federal Reserve Bank of San Francisco at the time of the award, plus 1%); and (iv) any other amount necessary to compensate Landlord for all the detriment proximately caused by Tenant’s failure to perform its obligations under the Lease, or which in the ordinary course would be likely to result from the Event of Default, including without limitation Reletting Expenses described below.

All Alterations shall become a part of the Premises and shall become the property of Landlord upon the expiration or earlier termination of this Lease, unless Landlord shall, by written notice given to Tenant, require Tenant to remove some or all of Tenant’s Alterations, in which event Tenant shall promptly remove the designated Alterations and shall promptly repair any resulting damage, all at Tenant’s sole expense. All business and trade fixtures, machinery and equipment, furniture, movable partitions and items of personal property owned by Tenant or installed by Tenant at its expense in the Premises shall be and remain the property of Tenant; upon the expiration or earlier termination of this Lease, Tenant shall, at its sole expense, remove all such items and repair any damage to the Premises or the Building caused by such removal. If Tenant fails to remove any such items (“Abandoned Items”) or repair such damage promptly after the expiration or earlier termination of the Lease, Landlord may, but need not, do so with no liability to Tenant, and Tenant shall pay Landlord the cost thereof upon demand. Tenant agrees to indemnify Landlord for any and all loss, cost, damage, liability or expense as incurred (including but not limited to reasonable attorneys’ fees and legal costs) arising out of or related to any claim, suit or judgment brought by or in favor of any person or persons for damage, loss or expense which arises out of, is occasioned by or is in any way attributable to the Abandoned Items. Notwithstanding the foregoing to the contrary, in the event that Landlord gives its consent, pursuant to the provisions of Section 9.01 of this Lease, to allow Tenant to make an Alteration in the Premises, Landlord agrees, upon Tenant’s written request, to notify Tenant in writing at the time of the giving of such consent whether Landlord will require Tenant, at Tenant’s cost, to remove such Alteration at the end of the Lease Term.

  • Tenant’s Termination Right If the part of the Buildings or the Real Property so acquired or condemned contains a substantial part of the total area of the portion of the Premises located in such Building immediately prior to such acquisition or condemnation, or if, by reason of such acquisition or condemnation, Tenant no longer has reasonable means of access to the Premises, Tenant may terminate this Lease as to such portion of the Premises by notice to Landlord given within 60 days following the date upon which Tenant received notice of such acquisition or condemnation; provided, however, that if the portion of the Premises so affected shall be the Music Hall, then Tenant’s right of termination shall apply to the whole of the Premises. Furthermore, if by virtue of the nature of the space in the Music Hall which is acquired or condemned, the space remaining in the Music Hall after giving effect to such acquisition or condemnation cannot economically be used for its intended purpose, following the date upon which Tenant received notice of such acquisition or condemnation, Tenant may terminate this Lease by notice to Landlord. If Tenant so notifies Landlord, this Lease shall terminate and the Term shall end and expire upon the date set forth in the notice as to the portion of the Premises covered thereby, which date shall not be more than 30 days following the giving of such notice. If a part of the Premises shall be so acquired or condemned and this Lease and the Term shall not be terminated in accordance with this Section, Landlord, at Landlord’s expense but without requiring Landlord to spend more than it collects as an award, shall, subject to the provisions of any Mortgage or Superior Lease, restore such portion of the Premises not so acquired or condemned to a self-contained unit substantially equivalent (with respect to character, quality, appearance and services) to that which existed immediately prior to such acquisition or condemnation, to the extent commercially practicable to do so, in which case Tenant shall be obligated to restore Tenant’s Property relating to such portion of the Premises to the condition which existed immediately prior to such acquisition or condemnation.
