Customer’s obligations to pay for the Services provided by the Contractor are considered fulfilled once the funds have been transferred into the account of the Contractor and the Contractor received the payment.

Terms of Payment 3. 1 The charges for the Services are as set out in either the latest Schedule B or written quotation to this Agreement agreed between the parties. 3.2 All expenses reasonably incurred by employees of LR or by the sub-contractor in the performance of this Agreement shall be paid by the Client. 3.3 LR reserves the right to increase charges from time to time. LR will notify the Client in advance of its intention to vary the charges. 3.4 All payments due from the Client under this Agreement shall be paid to LR within 30 days of the date of invoice, unless otherwise stated in the latest Schedule B or written quotation to this Agreement agreed between the parties. (“Due Date”). 3.5 The Client agrees to pay all undisputed portions of invoices for the Services within 30 days of the invoice date. LR reserves the right to charge interest at an annual rate of 2% above the greater of the London Interbank Offered Base Rate (LIBOR) or the equivalent in the country where the Client maintains its principal office on any amount remaining unpaid beyond 30 days, and may withhold any or all Services until the arrears, including interest, are paid. 4. CONFIDENTIALITY LR agrees to maintain as confidential and not to use or disclose to any third party, any information derived from the Client in connection with the Services without the consent of the Client except to the extent that it is reasonably necessary to enable LR to carry out the Services in accordance with the terms of this Agreement. Such obligation shall continue in full force and effect during the term of and after the termination of this Agreement provided, however, that the following shall not be subject to such restrictions: i) any information which was in the possession of LR prior to its disclosure to LR by the Client; or, ii) any information which is or shall become part of the public domain; or, iii) any information which shall otherwise lawfully become available to LR from a source independent of the Client; or, iv) any information which otherwise may be required to be made available in respect of achieving Accreditation/Notification; or, v) any information subject to a request from a recognised Competent Authority or Notified Body from a European Union Member State. 5. LIABILITY 5.1 In providing Services, information or advice neither the LR nor any of its affiliates, subsidiaries, subcontractors, nor the officers, employees or agents of any of them individually or collectively warrant the accuracy of any info...

The Buyer will pay to the Seller 45% of the total Contract price in the amount of EURO 972 675.00 as first advance payment by a bank transfer within 30 calendar days since the day of signing the present Contract against invoice and issuance of an irrevocable bank guarantee in favor of the Buyer as security of returning of the advance payment. The guarantee should be sending within 15 working days since the day of signing the present Contract by Seller’s bank to the bank of the Buyer by SWIFT. The Buyer shall approve the text and content of the bank guarantee, such approval not be unreasonably withheld, promptly upon its receipt. The Buyer shall be deemed to have received the guarantee at the same time when the guarantee is received by the Buyer’s bank. If the Buyer does not raise any objections against the text and content of the guarantee in writing within five (5) working days from the date of receipt, the guarantee is deemed to be approved. The bank guarantee validity – 16 months from guarantee release date. Seller will pay all expenses for issuance of the guarantee. In case delay of delivery date, the Seller must provide guaranty period prolongation on same delay period. 3.2. Terms of Payment 3. 1. The cost of the control services provided by the Contractor indicated in p.2.1 of this Contract is calculated per 1 sq. m. on the basis of the construction area of the Customer and provided documents and depends on the date of the documents submission. The prices are indicated in Euros, V.A.T.20% excluded. 3.1.1 If the documents are submitted before July 12, 2019: - For the one-storey stand construction the cost – 17 EUR per 1 sq. m. + V.A.T. 20% - For of the two-storey stand construction, the cost calculation of the works includes 100% of the second floor area and is calculated as follows - 17 EUR per 1 sq. m + V.A.T 20%; - Control static calculation for the load – bearing unit of the two-storey stand with an attached layout of construction elements – 775 EUR + V.A.T. 20% 3.1.2. Provision of documents after July 12, 2019: - from July 13 till 31 july, 2019 the cost of works and services increased by 50%; - from 01 till 06 August, 2019 the cost of works and services increased by 100% 3.1.3. The rights to build standard stands, performance of technical support and control the quality of mounting and dismounting, holding a complex technical works of security on build-up area - 46 EUR per 1 sq. m. + VAT 20%. Covering carpet without building – 3 ЕUR per 1 sq. m. + V.A.T. 20%. Approval of installation of air conditioning on the stand / in the Chalet – 100 EUR per 1 unit 3.1.4.
