Territory and Products. 1.1 The Principal appoints the Agent, who accepts, as his commercial agent to promote the sale of the products listed in Annex I, paragraph 1 (hereinafter called "the Products") in the territory defined in Annex I, paragraph 2 (hereinafter called "the Territory").
Territory and Products. 1.1 The Supplier grants and the Distributor accepts the exclusive right to market and sell the products listed in Annex I, § 1 (called "the Products") in the territory defined in Annex I, § 2 (called "the Territory").
1.2 If the Supplier decides to market any other products in the Territory, it shall so inform the Distributor in order to discuss the possibility of including such other products within the Products defined under Article 1.1. However, the above obligation to inform the Distributor does not apply if, in consideration of the characteristics of the new products and the specialization of the Distributor, it is not to be expected that such products may be marketed by the Distributor (e.g. products of a completely different range).

Subject to the terms and conditions of this Agreement, MANUFACTURER appoints DEALER as the sole authorized dealer for the sale of MANUFACTURER’s products defined by Exhibit attached hereto (the “Products”) within the territory defined by Exhibit attached hereto (the “Territory”). MANUFACTURER shall not appoint another authorized dealer in the Territory during the term of this Agreement so long as DEALER remains in compliance with the terms and conditions of this Agreement.

We will consider in good faith any requests made by you for solicitations of orders outside of the Territory.

SAGE reserves the right upon the giving of written notice to (i) add new Products, or (ii) amend or withdraw any of the existing Products, or (iii) add new state(s) or region(s), or (iv) withdraw from any state(s) or region(s), or (v) restrict activities in any state(s) or region(s), and to amend Exhibit A and or Exhibit B accordingly from time to time. 6 28

1.3 Distributor is the exclusive Distributor in France and its territories. If Distributor does not sell at least three ITEMISER(R)'s within the first three months after the signing of this agreement, Distributor agrees to purchase three ITEMISER(R)s for its own account. For other countries, Supplier and Distributor will agree to review this agreement for possible amendment of exclusivity in that country after three units are sold in that country.
Territory and Products. The term "Products" as used in this Agreement refers to the orthopaedic product lines identified in APPENDIX 1 hereto (hereinafter "Products"). Whether Sales Representative's appointment is exclusive or non-exclusive with respect to any individual product line is shown in APPENDIX 1. S&N may add and/or delete items from such Appendix to reflect changes to the lines of Products offered for sale generally by S&N. The territory within which the Sales Representative shall solicit sales of Products shall be the geographical area and/or account listing shown in APPENDIX 2 hereto (hereinafter "Territory"); provided, however, that S&N reserves the right to revise the Territory as necessary .
