Testing Prices. 6.2.1 Industry Regression and Interoperability Testing Industry regression Testing will be tracked by User and by region. Industry Regression Testing will be billed on a 4-hour block basis at the rate of $[* * *] per 4-hour block. The $[* * *] rate is valid through the Final Delivery Date as determined during the development of the Project Plan. Due to the scope of this release and changes to the interface interoperability testing will be required. Interoperability testing will be performed at the rate of $[* * *] per day. Advanced reservation of Industry Regression and Interoperability Testing blocks is required. Reservations must be made at least 14 days in advance of the start of testing. Industry Regression Testing blocks will be reserved and billed in 4-hour blocks only. Interoperability testing blocks will be reserved and billed in 8-hour (1-day) blocks only. Dedicated test support personnel will be provided for each reservation. Reservation for multiple testing blocks is allowed. Partial block reservations willnot be allowed. Reservations for Industry Regression and Interoperability Testing blocks must be canceled at least two and one-half workdays prior to the reserved date and time. Cancellations made less than two and one-half workdays prior to the reserved test date will incur a cancellation fee for the full amount of time reserved. For Industry Regression test blocks a cancellation fee of $[* * *] will be billed for cancellations made less than two and one-half workdays prior to the reserved test date. Contractor will issue a cancellation credit of $[* * *] to a User for cancellation of an Industry Regression test block, where a Contractor notice of at least two and one-half workdays was not provided prior to the reserved test date and time. For Interoperability test blocks a cancellation fee of $[* * *] will be billed for cancellations made less than two and one-half workdays prior to the reserved test date.   • Resale Prices Nothing contained herein shall be deemed to limit in any way the right of ViewRay to determine the prices at which, or the terms on which, the Products purchased by ViewRay may be resold by ViewRay as part of ViewRay products or services.

  • Measurement All quantities of Products received or delivered by or into truck, rail, or marine vessel shall be measured and determined based upon the meter readings at each Terminal, as reflected by delivery tickets or bills of lading, or if such meters are unavailable, by applicable calibration tables. All quantities of Products received and delivered by pipeline shall be measured and determined based upon the meter readings of the pipeline operator, as reflected by delivery tickets, or if such meters are unavailable, by applicable calibration tables. Deliveries to a Terminal rack at Mandan, Salt Lake City or Wilmington from a Tesoro Refinery shall be deemed to be the same as the corresponding volumes delivered contemporaneously from the Terminal rack. Deliveries by book transfer shall be reflected by entries in the books of TLO. All quantities shall be adjusted to net gallons at 60° F in accordance with ASTM D-1250 Petroleum Measurement Tables, or latest revisions thereof. A barrel shall consist of 42 U.S. gallons and a gallon shall contain 231 cubic inches. Meters and temperature probes shall be calibrated according to applicable API standards. Tesoro shall have the right, at its sole expense, and in accordance with rack location procedure, to independently certify said calibration. Storage tank gauging shall be performed by TLO’s personnel. TLO’s gauging shall be deemed accurate unless challenged by an independent certified xxxxxx. Tesoro may perform joint gauging at its sole expense with TLO’s personnel at the time of delivery or receipt of Product, to verify the amount involved. If Tesoro should request an independent xxxxxx, such xxxxxx must be acceptable to TLO, and such gauging shall be at Tesoro’s sole expense.

  • Closing Price Closing Price shall mean the last reported market price for one share of Common Stock, regular way, on the New York Stock Exchange (or any successor exchange or stock market on which such last reported market price is reported) on the day in question. If the exchange is closed on the day on which the Closing Price is to be determined or if there were no sales reported on such date, the Closing Price shall be computed as of the last date preceding such date on which the exchange was open and a sale was reported.

  • Product Prices The price for each Product is stated in Appendix A (Products) which prices include all Product costs payable by Purchaser (the “Product Price”). Where Supplier is arranging transportation and shipping, such expenses will be reflected in the price base on FCA port of export, Incoterms® 2020 rules. Taxes and additional amounts will be stated on the invoice and owed by Purchaser.

  • Premium Prices Whenever Material is not readily obtainable at published or listed prices because of national emergencies, strikes or other unusual causes over which the Operator has no control, the Operator may charge the Joint Account for the required Material at the Operator's actual cost incurred in providing such Material, in making it suitable for use, and in moving it to the Joint Property; provided notice in writing is furnished to Non-Operators of the proposed charge prior to billing Non-Operators for such Material. Each Non-Operator shall have the right, by so electing and notifying Operator within ten days after receiving notice from Operator, to furnish in kind all or part of his share of such Material suitable for use and acceptable to Operator.

  • Calculation Dates The interest rate applicable to each Interest Reset Period will be determined by the Calculation Agent on or prior to the Calculation Date (as defined below), except with respect to LIBOR, which will be determined on the particular Interest Determination Date. Upon request of the Holder of a Floating Rate Note, the Calculation Agent will disclose the interest rate then in effect and, if determined, the interest rate that will become effective as a result of a determination made for the next succeeding Interest Reset Date with respect to such Floating Rate Note. The “Calculation Date”, if applicable, pertaining to any Interest Determination Date will be the earlier of: (1) the tenth calendar day after the particular Interest Determination Date or, if such day is not a Business Day, the next succeeding Business Day; or (2) the Business Day immediately preceding the applicable Interest Payment Date or the Maturity Date, as the case may be.

  • Prices Manufacturer shall sell the Products to Distributor at the prices set forth on Schedule 1. Manufacturer has the right to modify prices for any Products on sixty (60) days prior written notice to Distributor but no more than once a year for the same Product. Within thirty (30) days of receipt of this notice, Distributor may order, at the pre-notice price, up to no more than the balance of the current year’s sales forecast as indicated in Schedule 3.

  • Offering Price Shares of any class of the Fund offered for sale by you shall be offered for sale at a price per share (the "offering price") approximately equal to (a) their net asset value (determined in the manner set forth in the Fund's charter documents) plus (b) a sales charge, if any and except to those persons set forth in the then-current prospectus, which shall be the percentage of the offering price of such Shares as set forth in the Fund's then-current prospectus. The offering price, if not an exact multiple of one cent, shall be adjusted to the nearest cent. In addition, Shares of any class of the Fund offered for sale by you may be subject to a contingent deferred sales charge as set forth in the Fund's then-current prospectus. You shall be entitled to receive any sales charge or contingent deferred sales charge in respect of the Shares. Any payments to dealers shall be governed by a separate agreement between you and such dealer and the Fund's then-current prospectus.

  • Supply Price In event BTC exercises the Supply Option, the Supply Agreement shall afford Auxilium supply terms for Year 1 that are not less favorable than the average price afforded to Auxilium by the Back-Up Suppliers for the year immediately preceding the Supply Date and supply terms for each successive year that are not less favorable than the average price afforded to Auxilium by the Back-Up Suppliers for each preceding year as applicable.

  • Volume (a) Buyer agrees to buy and ANC agrees to sell, in each calendar year during the term of this Agreement, 7 billion cans. Can bodies and ends shall be purchased by Buyer and supplied by ANC in substantially equal volumes.
