Product Prices. Product prices and validity of product prices are stated in the Offer and/or in the Individual Agreement.
Product Prices. (a) The prices for each of the Products are set forth on Attachment 2.
(b) Except as otherwise agreed by the parties or as provided in this Section 3.4, Manufacturer will not increase prices for the Products. Not more than once annually, Manufacturer may increase the prices for the Products to reflect (i) increases in the cost of raw materials, or (ii) increases in the costs of production components utilized in the manufacture of such Products including utilities, packaging materials and labor utilized in such manufacturing plus a pro rata portion of factory overhead costs allocated to the Products purchased by Company pursuant to this Agreement in accordance with normal accounting practices for all products manufactured in the Facility. Price increases shall not include any costs attributable to idle plant capacity (that Manufacturer or any third party may have) or general corporate activities that are not primarily associated with the manufacture of Products, including, by way of example only, salaries and benefits of executive management, administrative support for such management, and all costs of the finance, purchasing, legal, business development and corporate development functions of Manufacturer or overhead (other than Facility overhead for the portions of the Facility used for manufacturing Products). Without limiting the foregoing, Manufacturer will use commercially reasonable efforts to maintain price increases to an amount that does not exceed […***…] percent ([…***…] %) per annum and shall include with any notice of a price increase documentation of such production cost increases. Company shall have the right, not more than once in any twelve (12) month period, upon reasonable notice to have an independent certified public accountant, selected by Company and reasonably acceptable to Manufacturer, inspect Manufacturer’s books and records for purposes of verifying Manufacturer’s actual production costs for the Products. Manufacturer shall make all applicable books and records available for such inspection during normal business hours at Manufacturer’s facility. Any such audit shall be at the expense of Company, unless such audit discloses that Manufacturer’s reported average production costs for the audited period are less than Manufacturer’s actual production costs for such period by more than […***…] percent ([…***…]%), in which case Manufacturer shall reimburse Company for such expenses. Product Prices. The price for each Product is stated in Appendix A (Products) which prices include all Product costs payable by Purchaser (the “Product Price”). Where Supplier is arranging transportation and shipping, such expenses will be reflected in the price base on FCA port of export, Incoterms® 2020 rules. Taxes and additional amounts will be stated on the invoice and owed by Purchaser.
Product Prices. 8.1.1 The prices for the Products shall beset at arm’s length and calculated using the formula shown in Exhibit A. Subsidiary is free to establish prices for the sale of Products, as applicable, to End Users, OEMs and Distributors.
8.1.2 Such prices are subject to change from time to time as the parties mutually agree. The parties agree to cooperate and act in good faith with respect to price increases, which become necessary in the event of increased manufacturing costs. Masimo may request such price increases by providing to Subsidiary reasonably satisfactory evidence confirming the amounts of such increased costs, and in such event Subsidiary agrees not to withhold unreasonably its consent to reasonable increase in prices.
8.1.3 From time to time, Masimo may sell Products in the Territory, either directly or through a distribution channel partner under contract with Masimo.
Product Prices. The purchase price per unit of Product to be paid by ISTA to BLP shall be in accordance with the terms of the price schedule set forth in Appendix A, which is attached hereto and incorporated herein by reference, as adjusted pursuant to Section 4.B. below. Prices for Product sold to ISTA during the Term are F.O.B. BLP's shipping point located in Tampa, Florida.
Product Prices. The total cost of Customer’s cookout Event will be determined by the amount of food used, at the current prices below and other charges described on page one or the “Minimum Charge” of $1,500.00, whichever is higher. Prices, terms and conditions quoted are subject to change; should this occur, Customer will be notified no less than 60 days prior to the cookout date.
Product Prices. 4.1 The pricing for the Products (“Product Price”) shall be [***] per module. Where the Parties sign a Master Supply Agreement (“[***] Agreement”) for the supply of solar panels by REC to the Customer for a utility-scale project of [***] at [***] within 14 days from the signing of this Agreement, the Parties agree that Product Price shall be [***] per module. The Product Price, excluding the cost of bonding, as illustrated in Exhibit F for a project size of [***] is [***] for a single project or $31,392,576 if the [***] Agreement is also signed within 14 days from the signing of this Agreement. These calculations are based on allocation of [***] watt panels and [***] watt panels.
4.2 If the Customer asks for special transport (e.g. air freight) or non-standard volumes (e.g. one pallet), REC is entitled to add its costs in this connection to the invoice. A standard volume of Products is one full container.
4.3 Customer has the option to purchase spare modules up to an additional one percent. (1%) of project capacity at the Product Price.

Any penalty for failure to purchase a designated quantity of product for a defined period, if any, shall be clearly described in Exhibit A or in a written amendment. Any future modification to pricing shall be mutually agreed upon and may be captured in a revised Exhibit A or a written amendment signed by both Parties.
Product Prices. The Prices for the Product purchased by BTE pursuant to a Procurement Document shall be set forth on a per unit basis in the Procurement Document and shall be adjusted in accordance with the applicable pricing schedule as set forth in Exhibit 2.2, Pricing Schedule. All Product purchased by BTE shall include the warranties set forth in Article 11 hereof.
