THE ACADEMY EMPLOYEES. 5.1 The parties intend and acknowledge that the transfer of the Assets pursuant to this Agreement shall constitute a transfer to which the Directive and the Regulations apply and agree that as a consequence the contracts of employment made between the Transferor and the Transferring Employees (save insofar as such contracts relate to benefits for old age, invalidity or survivors under any occupational pension scheme) shall have effect from and after the Transfer Date as if originally made between the Transferee (or as the case may be a Contractor) and the Transferring Employees. 5.2 The Transferee shall comply (and shall procure that any Contractor complies) with its obligations under Regulation 13 of the Regulations during the period prior to the Transfer Date. 5.3 The Transferor shall comply with its obligations under Regulations 13 and 14 of the Regulations during the period prior to the Transfer Date, save where the Transferor is unable to do so as a result of the failure of the Transferee and/or any Contractor to comply with their duties under Regulation 13 of the Regulations.
