The Business Records. Instructions to the Deposit Escrow Agent in writing and duly executed by Seller to return the Deposit to Purchaser.

The Business Records. (a) have been materially maintained and are up to date;
(b) contain records of assets, trading transactions and the financial, contractual and trading position of the Company or the Sellers in relation to the Business and of all matters required by applicable laws; and

1. Purchaser’s Knowledge (actual, constructive and imputed)
The Business Records. Each of the Business Assets will be sold and bought free from any Encumbrance unless otherwise specified in this Agreement.
The Business Records the benefit of any sum to which Prodac is entitled either from third parties or insurers in respect of damage or injury to any of the Assets other than any sum expended before Completion in making good the damage or injury; and
The Business Records a copy of the books and records used in the conduct of the Business, including without limitation, copies of all credit records, billing records, payroll records, computer records, computer programs, contracts, agreements, operating manuals, schedules of assets, correspondence, books of account, customer lists, files, papers, books and all other public and confidential business records, whether such records are in hard copy form or are electronically or magnetically stored;
The Business Records the benefit of the Contracts (subject to any obligation in respect thereof pursuant to clause 6.2) and subject to any burden attaching to them assumed under clause 5.1;
