Common use of THE CUSTOMER’S OBLIGATIONS Clause in Contracts

THE CUSTOMER’S OBLIGATIONS. 6.1 The Customer shall be obliged to ensure that persons performing the services are granted access to the Cus- tomer’s Software and hardware to the extent it is re- quired for the purpose of performing the services in ac- cordance with these General Support and Maintenance Service Terms, and that upon request these persons are provided with the necessary documentation and other documents concerning the Customer’s Software and hardware. Furthermore, the Customer shall be obliged to provide for the use of SSH the premises, data media and other equipment related to the use of the Software and hardware that are required for performing the ser- vices. The Customer shall provide SSH with correct and adequate information for performing the services. The Customer shall be liable for the information and instruc- tions it provides to SSH. At least one of the administra- tive users appointed by the Customer must be reachable by SSH in order for SSH to be able to provide the ser- vices. The Customer shall inform SSH if the administra- tive user changes and of any changes in their contact in- formation. 6.2 When SSH uses the Customer’s i) premises, ii) hard- ware, iii) software or iv) other commodities provided by the Customer (ii–iv ”commodities”) in the services per- formed by it in accordance with these General Support and Maintenance Service Terms, the Customer shall be responsible for acquiring necessary permits for altering the premises and for the transfer, use (including inter alia the permits necessitated by data protection legisla- tion), copying and distribution of the commodities dur- ing the validity of these General Support and Mainte- xxxxx Service Terms to the extent required by the ser- vices, in a manner that ensures no third party rights are infringed upon. 6.3 The Customer undertakes to be liable towards SSH for such demands, liabilities, costs and damages that are directly caused by a lack of the permits mentioned above in section 5.2.

THE CUSTOMER’S OBLIGATIONS. 6.1 3.1 The Customer shall be obliged use the Service only in accordance with the terms of the Agreement and any documentation provided by Axiell. 3.2 In order for Axiell to perform its obligations under the Agreement, the Customer is responsible for: 3.2.1 reviewing documentation provided by Axiell and take appropriate decisions and approvals regarding such information; 3.2.2 co-operating with Axiell and provide Axiell with necessary information and ensure that persons performing appropriate resources are allocated to Axiell, which are required for Axiell to provide the services are granted Service (including any Consultancy Services); 3.2.3 the communication between the Customer and access to the Cus- tomer’s Software and hardware Internet where Axiell makes the Service available to the extent Customer. Further, it is re- quired the Customer's responsibility that it has the equipment and software that Axiell has stated is required to use the Service, or which otherwise is clearly required for such use; 3.2.4 implementing and maintaining appropriate security measures and standards to protect Security Information and to prevent unauthorised access; 3.2.5 faults and defects in the Customer's software and/or equipment; 3.3 The Customer is solely responsible for the purpose use of performing the services in ac- cordance with these General Support Service and Maintenance Service Termsany act or omission by Users that has been given access to the Service, and Axiell shall have no responsibility in respect or vis-à-vis the Customer or such individuals. The Customer shall ensure that upon request these persons are provided the use of the Service by the Users at all times complies with the necessary documentation section 2.34 above and undertakes to provide all Users with appropriate training to ensure compliance with this Agreement. 3.4 The Customer undertakes to keep all usernames, passwords and other documents concerning account data ("Security Information") of the Users in a secure and sufficient manner to prevent unauthorised access. The Customer shall promptly inform Xxxxxx of any unauthorised use of or access to the Security Information. 3.5 The Customer is licensed to use the Service for the maximum number of concurrent users stated in the Pricing Schedule for the duration of the agreement, unless that number should be changed. The customer undertakes to notify Axiell in writing of any desired change to the number of licensed users and Clause 6.3 shall apply to the recalculation of the Fees. 3.6 The Customer is responsible for any unauthorised use of the Service should the Customer’s Software and hardware. Furthermore (i) provide third party access to the Service without Xxxxxx's prior written approval; (ii) handle Security Information negligently or (iii) omit to report suspected unauthorised access to the Security Information. 3.7 If the Customer suspects or discovers attempted infringements or security attacks in the Service, the Customer shall be obliged to provide for the use of SSH the premises, data media and other equipment related to the use of the Software and hardware that are required for performing the ser- vicesinform Xxxxxx thereof without undue delay. The Customer shall provide SSH with correct and adequate information for performing the services. The Customer shall be liable for the information and instruc- tions it provides to SSH. At least one of the administra- tive users appointed by the Customer must be reachable by SSH in order for SSH to be able to provide the ser- vices. The Customer shall inform SSH if the administra- tive user changes and of any changes in their contact in- formation. 6.2 When SSH uses the Customer’s i) premises, ii) hard- ware, iii) software or iv) other commodities provided by the Customer (ii–iv ”commodities”) in the services per- formed by it in accordance with these General Support and Maintenance Service Terms, the Customer shall be responsible for acquiring necessary permits for altering the premises and for the transfer, use (including inter alia the permits necessitated by data protection legisla- tion), copying and distribution of the commodities dur- ing the validity of these General Support and Mainte- xxxxx Service Terms to the extent required by the ser- vices, in a manner that ensures no third party rights are infringed upon. 6.3 The Customer further undertakes to be liable towards SSH for such demands, liabilities, costs and damages that are directly caused by take any measures necessary to prevent and/or minimise any damage or loss due to a lack of the permits mentioned above in section 5.2discovered or suspected attacks or infringements.
