The Eligible Public Improvements; Eligible Costs. The Eligible Public Improvements are described in Exhibit A. The reasonable and necessary costs of financing, designing, and constructing the Eligible Public Improvements shall be documented and certified by a professional engineer qualified to practice in the State of Colorado selected by the Owner and the Owner and in a form reasonably acceptable to the Authority that is consistent with the usual and customary method of documenting and certifying similar costs in the State of Colorado (the Eligible Costs). From time to time, at the request of the Authority, the Owner will provide the Authority with cost estimates, engineering studies, construction contracts, bidding information and results, and other information related to the Eligible Costs. Notwithstanding the foregoing, the Authority shall only reimburse the Owner for those Eligible Costs actually paid or incurred by the Owner and certified in accordance with this Agreement. In no event shall the Authority be required to reimburse the Owner for any Eligible Cost that have been paid by or reimbursed to the Owner by third parties, it being the intention of the Parties that the Owner shall be reimbursed only once for Eligible Costs. Recovered Costs shall be deemed to reduce the Reimbursement Obligation of the Authority in the amount of any and all Recovered Costs received by or on behalf of the Owner whether delivered to the Authority or received by the Owner. The Owner hereby assigns any and all Recovered Costs to the Authority, and the Authority agrees to deposit in the Special Fund any and all Recovered Costs it receives. The Owner shall deliver to the Authority copies of all of the documentation in its possession or in possession of its agents and engineers related to its right to receive such Recovered Costs. The Owner agrees to reimburse the Authority for any Recovered Costs it receives after the expiration of the Term but in no event after the fifteenth (15th) anniversary of the date of this Agreement.
