The Works Schedule. (a) Within 45 days after the date of Financial Close, Project Co shall prepare and submit to HMQ and the Independent Certifier a detailed, computerized draft schedule using Primavera 5.0 or other software compatible with Primavera 5.0 that supports the completion of the Works in accordance with Section 20.1. (b) HMQ shall provide Project Co with comments on the draft schedule in accordance with Schedule 10 - Review Procedure, provided that the period for review of such draft schedule shall be 20 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 - Review Procedure. Project Co shall revise the draft schedule to the extent required by Schedule 10 - Review Procedure within 30 days of receipt of any comments from HMQ. (c) When agreed by the Parties, the draft schedule shall become the Works Schedule. (d) The Works Schedule shall be prepared in accordance with Good Industry Practice for a large complex project and shall be in sufficient detail so as to enable the HMQ Representative and, if applicable, the Independent Certifier, to monitor the progress of the Works, including all commissioning activities, and the likely future progress of the Works. Given the size and complexity of the Project, the Works Schedule shall include no fewer than 1,000 activities. (e) Without limiting the generality of Section 20.2(d), the Works Schedule shall, at a minimum, include: (i) major milestone events; (ii) the dates that key decisions must be made by HMQ to support the progress of the Works; (iii) a detailed and editable procurement, delivery, installation, training, commissioning and inventory services schedule for all FF&E; (iv) all design related activities, including the proposed date for each Design Workshops; (v) the proposed date for each Works Submittal; (vi) all construction activities, including subcontract work and cash allowance work, both on and off the Site; (vii) all procurement activities undertaken by the Construction Contractor with respect to materials and equipment, including timelines for Shop Drawings, manufacturing periods and dates of delivery to the Site; (viii) all Project Co Commissioning and HMQ Commissioning activities; (ix) a detailed plan for the Transition; (x) the manpower requirements for each activity, including subcontract work; (xi) a manpower histogram, both overall and by trade; (xii) a cumulative “S”-curve showing planned percent completion for each month from the commencement of the Works until the Scheduled Final Completion Date; (xiii) projected Construction Contract cash flows; and (xiv) all work to be completed by City of Thunder Bay as contemplated and described in Schedule 15 – Output Specifications.

Project Co shall revise the 6-Month Works Schedule and the draft schedule of the Works Schedule to the extent required by Schedule 10 9 - Review Procedure within 30 15 days of receipt of any comments from HMQthe Ministry.
(c) When agreed by the Parties, the draft schedule of the Works Schedule shall become the Works Schedule.
(d) The 6-Month Works Schedule and the Works Schedule shall be prepared in accordance with Good Industry Practice for a large complex project of similar scale, scope, type and complexity and shall be in sufficient detail so as to enable the HMQ Ministry Representative and, if applicable, the Independent Certifier, to monitor the progress of the Works, including all commissioning activities, and the likely future progress of the Works. Given the size and complexity of the Project, the Works Schedule shall include no fewer than 1,000 activities.
(e) Without limiting the generality of Section 20.2(d22.2(d), the 6-Month Works Schedule shallshall include, at a minimum, includein respect of the 6-month period beginning at Financial Close:
(i) all elements to be included in the Works Schedule pursuant to Part 1 of Schedule 3 to the Request for Proposals;
(ii) major milestone events;
(iiiii) the dates that key decisions must be made by HMQ the Ministry, or key meetings where the Ministry is to be present, to support the progress of the Works;
(iiiiv) a detailed and editable procurement, delivery, installation, training, commissioning and inventory services schedule the proposed dates for all FF&E;
(iv) plans, all design related activities, including Works Submittals and all OM&R Submittals required to be submitted under this Project Agreement and any Schedule by Project Co pursuant to the proposed date for each Design WorkshopsReview Procedure;
(v) all activities related to the proposed environmental process and Environmental Approvals, including review periods by Governmental Authorities and third parties pursuant to Project Co Permits, Licences and Approvals showing in sufficient detail how these dates affect the critical path of the Schedule, as well as how these dates affect the commencement date for each Works Submittalof vegetation clearing and grubbing;
(vi) all design related activities;
(vii) all field and construction activities, including construction staging, subcontract work and cash allowance work, both on and off the Site;
(viiviii) all procurement activities undertaken by the Construction Contractor with respect leading up to materials vegetation clearing and equipment, including timelines for Shop Drawings, manufacturing periods and dates of delivery to the Sitegrubbing;
(viiiix) projected Construction Contract cash flows; and
(x) a narrative that describes, in sufficient detail, the rationale behind the items identified in this Section 22.2(e).
(f) Without limiting the generality of Section 22.2(d), the Works Schedule shall include, at a minimum, in respect of the period from 6 months following Financial Close until the Substantial Completion Date:
(i) subject to Section 22.2(f)(ii), all elements to be included in the 6-Month Works Schedule pursuant to Section 22.2(e);
(ii) the proposed date for each Works Submittal, except for the proposed dates for plans under Subsection (iv) of Section 22.2(e);
(iii) the process and schedule for Road Safety Audits;
(iv) all Project Co Commissioning and HMQ Commissioning activities;
(ix) a detailed plan for the Transition;
(xv) the manpower requirements for each activity, including subcontract work;
(xivi) a manpower histogram, with descriptions of overall manpower as well as by trade and manpower sourced locally (including both overall direct engagement and by trade;subcontract work); and
(xiivii) a cumulative “S”-curve showing planned percent completion for each month from the commencement of the Works until the Scheduled Final Completion Date;
(xiii) projected Construction Contract cash flows; and
(xiv) all work to be completed by City of Thunder Bay as contemplated and described in Schedule 15 – Output Specifications.

The Works Schedule and any other schedule related reporting requirements of Project Co shall conform to the phasing and sequencing requirements for the Works as set out in the Project Agreement, including the work to be completed by the College’s own forces or by other contractors, the Scheduled Substantial Completion Date, the Scheduled Final Completion Date, the Output Specifications, including the sequencing requirements, the schedule for commissioning of the Works and for achieving the Scheduled Substantial Completion Date and the Scheduled Final Completion Date. The College shall provide Project Co with comments on the draft schedule Works Schedule in accordance with Schedule 10 - –Review Procedure, provided that the period for review of such draft schedule shall be 20 Business Days rather than the 10 Business Days prescribed in Section 2.2 2.4 of Schedule 10 - – Review Procedure. Project Co shall revise the draft schedule Works Schedule to the extent required by Schedule 10 - – Review Procedure within 30 days of receipt of any comments from HMQ.
(c) the College. When agreed by the Parties, the draft schedule shall become the Works Schedule.;
(dii) continuously monitor the progress of the Works in relation to the Works Schedule and the cash flow and update the Works Schedule and the cash flow projections set out in the Works Report, maintain the continuity of the Works Schedule’s CPM network for all updates and revisions and immediately notify the College of any variance or potential variance in the scheduled completion dates;
(iii) advise the College Representative of any revisions required to the Works Schedule as a result of extension of the Scheduled Substantial Completion Date in accordance with Schedule 22 – Variation Procedure;
(iv) identify potential variances between scheduling and scheduled completion dates, review the schedule of Works not started or incomplete and implement necessary adjustments in the Works Schedule in order to meet the Scheduled Substantial Completion Date and the Scheduled Final Completion Date set out in the Works Schedule, including the movement of manpower and equipment in response to availability of work areas;
(v) comply with the Works Schedule so as not to interfere with the activities of the College in the Existing Facilities;
(vi) monitor the Subcontractors’ personnel staffing and equipment and the availability of materials and supplies in order to meet the Works Schedule and take appropriate courses of action when the requirements of a Subcontract with any Project Co Party are not met;
(vii) obtain from Project Co Parties a schedule showing the order number, vendor’s name, shop drawing status, manufacturing lead time and delivery date of all critical material and equipment required for the Works;
(viii) pre-order equipment, materials and supplies where necessitated by cost and/or time factors and expedite delivery of critical items;
(ix) in consultation with the College Representative, include in the Works Schedule the integration of the equipment Output Specifications, rough-in requirements, supply and installation, including of the College’s equipment and FF&E, to ensure that the ordering, delivery, receiving and supply of equipment and FF&E does not adversely affect the Works Schedule; and
(b) The Works Schedule shall be prepared in accordance with Good Industry Practice for a large complex project and shall be in sufficient detail so as to enable the HMQ College Representative and, if applicable, the Independent Certifier, to monitor the progress of the Works, including all commissioning activities, and the likely future progress of the Works. Given the size and complexity of the Project, the Works Schedule shall include no fewer than 1,000 activities.
(ec) Without limiting the generality of Section 20.2(d13.2(b), the Works Schedule shall, at a minimum, include:
(i) major milestone events, which shall include at a minimum the Works Milestones;
(ii) the dates that key decisions must be made by HMQ the College to support the progress of the Works;
(iii) a detailed and editable procurement, delivery, installation, training, training and commissioning and inventory services schedule for all FF&E;
(iv) all design related activities, including the proposed date for each Design WorkshopsWorkshop;
(v) the proposed date for each Works Submittal;
(vi) all construction activities, including subcontract work and cash allowance work, both on and off the SiteSite and the Existing Facilities;

(c) The City shall provide Project Co with comments on the 6-Month Works Schedule and the draft schedule of the Works Schedule in accordance with Schedule 10 - − Review Procedure, provided that the period for review of such the draft schedule of the 6-Month Works Schedule and the Works Schedule shall be 20 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 - − Review Procedure. Project Co shall revise the 6-Month Works Schedule and the draft schedule of the Works Schedule to the extent required by Schedule 10 - − Review Procedure within 30 15 days of receipt of any comments from HMQthe City.

(de) The 6-Month Works Schedule and the Works Schedule shall be prepared in accordance with Good Industry Practice (Works ) for a large complex light rail transit project of similar scale, scope, type and complexity and shall be in sufficient detail so as to enable the HMQ Representative and, if applicable, City and the Independent Certifier, to monitor the progress of the Design and Construction Works, including all commissioning activities, and the likely future progress of the Design and Construction Works. Given the size and complexity For purposes of the Projectthese schedules, Good Industry Practice (Works) includes, but is not limited to, the Works Schedule shall include no fewer than 1,000 activitiesfollowing Project Management Institute (PMI) publications:
(i) A Guide to the Project Management Body of Knowledge (PMBOK® Guide);

(ef) Without limiting the generality of Section 20.2(d22.2(e), the 6-Month Works Schedule shallshall include the requirements below, at a minimum, includein respect of the 6-month period beginning at Financial Close:
(i) all elements in the Works Schedule pursuant to Schedule 3, Part 1 of the Request for Proposals;
(ii) information based upon a detailed Work Breakdown Structure (WBS). The WBS and associate dictionary shall be provided to the City;
(iii) information structured with valid network logic and in sufficient detail so as to enable the City to analyze the schedule model using statistical techniques such as Monte Carlo schedule risk analysis;
(iv) three-point duration estimates (optimistic, most likely, and pessimistic) for all activities. These estimates shall identify the uncertainty inherent with executing each activity;
(v) major milestone events;
(iivi) constraints;
(vii) the dates that key decisions must be made by HMQ the City, or key meetings where the City is to be present, to support the progress of the Design and Construction Works;
(iiiviii) a detailed and editable procurement, delivery, installation, training, commissioning and inventory services schedule the proposed dates for all FF&Eplans, all Work Submittals and all Maintenance Submittals required to be submitted under this Project Agreement and any Schedule by Project Co pursuant to the Review Procedure;

(i) prepare and submit to the CTC and the Independent Certifier as soon as practical and in any event within 45 days after the date of Financial Close, Project Co a detailed computerized Works Schedule using a critical path method (“CPM”) network and a Works Schedule dependent cash flow forecast, each in a form approved by the CTC. The planning and schedule software shall prepare and submit to HMQ and the Independent Certifier a detailed, computerized draft schedule using be Primavera 5.0 6.0 or other software compatible with Primavera 5.0 6.0 that supports the completion of the Works in accordance with Section 20.1.
(b) HMQ 13.1 and shall also be provided in PDF format. The Works Schedule and any other schedule related reporting requirements of Project Co shall conform to the phasing and sequencing requirements for the Works as set out in the Project Agreement, including the work to be completed by the CTC’s own forces or by other contractors, the Scheduled Substantial Completion Date, the Scheduled Final Completion Date, the Output Specifications, including the sequencing requirements, the schedule for commissioning of the Works and for achieving the Scheduled Substantial Completion Date and the Scheduled Final Completion Date. The CTC shall provide Project Co with comments on the draft schedule Works Schedule in accordance with Schedule 10 - –Review Procedure, provided that the period for review of such draft schedule shall be 20 Business Days rather than the 10 Business Days prescribed in Section 2.2 2.4 of Schedule 10 - – Review Procedure. Project Co shall revise the draft schedule Works Schedule to the extent required by Schedule 10 - – Review Procedure within 30 days of receipt of any comments from HMQ.
(c) the CTC. When agreed by the Parties, the draft schedule shall become the Works Schedule.;
(dii) continuously monitor the progress of the Works in relation to the Works Schedule and the cash flow and update the Works Schedule and the cash flow projections set out in the Works Report, maintain the continuity of the Works Schedule’s CPM network for all updates and revisions and immediately notify the CTC of any variance or potential variance in the scheduled completion dates;
(iii) advise the CTC Representative of any revisions required to the Works Schedule as a result of extension of the Scheduled Substantial Completion Date in accordance with Schedule 22 – Variation Procedure;
(iv) identify potential variances between scheduling and scheduled completion dates, review the schedule of Works not started or incomplete and implement necessary adjustments in the Works Schedule in order to meet the Scheduled Substantial Completion Date and the Scheduled Final Completion Date set out in the Works Schedule, including the movement of manpower and equipment in response to availability of work areas;
(v) comply with the Works Schedule so as to not interfere with the activities of the CTC in the Existing Facilities;
(vi) monitor the Subcontractors’ personnel staffing and equipment and the availability of materials and supplies in order to meet the Works Schedule and take appropriate courses of action when the requirements of a Subcontract with any Project Co Party are not met;
(vii) obtain from Project Co Parties a schedule showing the order number, vendor’s name, shop drawing status, manufacturing lead time and delivery date of all critical material and equipment required for the Works;
(viii) pre-order equipment, materials and supplies where necessitated by cost and/or time factors and expedite delivery of critical items;
(ix) in consultation with the CTC Representative, include in the Works Schedule the integration of the equipment Output Specifications, rough-in requirements, supply and installation, including of the Equipment, to ensure that the ordering, delivery, receiving and supply of Equipment does not adversely affect the Works Schedule; and
(b) The Works Schedule shall be prepared in accordance with Good Industry Practice for a large complex project and shall be in sufficient detail so as to enable the HMQ CTC Representative and, if applicable, the Independent Certifier, to monitor the progress of the Works, including all commissioning activities, and the likely future progress of the Works. Given the size and complexity of the Project, the Works Schedule shall include no fewer than 1,000 activities.
(ec) Without limiting the generality of Section 20.2(d13.2(b), the Works Schedule shall, at a minimum, include:
(i) major milestone events;
(ii) the dates that key decisions must be made by HMQ the CTC to support the progress of the Works;
(iii) a detailed and editable procurement, delivery, installation, training, training and commissioning and inventory services schedule for all FF&EEquipment;
(iv) all design related activities, including the proposed date for each Design WorkshopsWorkshop;
(v) the proposed date for each Works Submittal;
(vi) all construction activities, including subcontract work and cash allowance work, both on and off the Site;
(vii) all procurement activities undertaken by the Construction Contractor with respect to materials and equipment, including timelines for Shop Drawings, manufacturing periods and dates of delivery to the Site;
(viii) all Project Co Commissioning and HMQ CTC Commissioning activities;
(ix) a detailed plan for the Transition;
(x) the manpower requirements for each activity, including subcontract work;
(xi) a manpower histogram, both overall and by trade;
(xii) a cumulative “S”-curve S” curve showing planned percent completion for each month from the commencement of the Works until the Scheduled Final Completion Date;; and
(xiii) projected Design and Construction Contract cash flows; and
(xiv) all work to be completed by City of Thunder Bay as contemplated and described in Schedule 15 – Output Specifications.

The Works Schedule. (a) Within Project Co shall:

(b) HMQ The draft schedule and any other schedule related reporting requirements of Project Co shall also conform to the Phasing Requirements for the Works as set out in the Project Agreement, including the work to be completed by Contracting Authority’s own forces or by other contractors, the Scheduled Phase Completion Date, the Scheduled Substantial Completion Date, the Scheduled Final Completion Date, the Output Specifications, including the sequencing requirements, the schedule for commissioning of the Works and for achieving the Scheduled Substantial Completion Date and the Scheduled Final Completion Date.
(c) Contracting Authority shall, within 20 Business Days of receipt thereof, provide Project Co with comments on the draft schedule in accordance with Schedule 10 - – Review Procedure, provided that the period for review of such draft schedule shall be 20 Business Days rather than the 10 Business Days prescribed in Section 2.2 of Schedule 10 - – Review Procedure. Project Co shall revise the draft schedule to the extent required by Schedule 10 - – Review Procedure within 30 days of receipt of any comments from HMQContracting Authority.
