The Xxxxx Xxxxxxx Shares Sample Clauses

The Xxxxx Xxxxxxx Shares. Each of the Xxxxx Xxxxxxx Sellers is the record and beneficial owner of the Xxxxx Xxxxxxx Shares that such Xxxxx Xxxxxxx Seller is selling to the Purchaser pursuant to this Agreement. Except for this Agreement, there is no agreement, arrangement or understanding with any other Person regarding the sale or transfer of any Xxxxx Xxxxxxx Shares, and there exist no liens, claims, options, proxies, voting agreements, charges or encumbrances of any kind affecting the Xxxxx Xxxxxxx Shares, other than any restrictions on transfer that may be imposed by Law or the Purchaser’s organizational documents. Upon transfer of the Xxxxx Xxxxxxx Shares to the Purchaser at the Closing against payment of the Xxxxx Xxxxxxx Purchase Price, the Purchaser will acquire ownership of the Xxxxx Xxxxxxx Shares, free and clear of all liens, claims, options, proxies, voting agreements, charges or encumbrances of any kind affecting the Xxxxx Xxxxxxx Shares, other than any restrictions on transfer that may be imposed by Law or the Purchaser’s organizational documents.
