TIME AND PRICE. The time period for the Radio shall be six months of Radio interview days through 9/15/14 at the discounted payment rate $8,900.00. Television Production services are discounted to $9,500.00, and full Internet Services through 9/15/14 for $5,750.00.
TIME AND PRICE. The Holder of the Option, or Holder's designees, may exercise the Option as follows: with respect to 5,000 Option Shares (the "First Option"), which shall be exercisable at an exercise price of $2.50 per Option Share provided that the bid price shall be at least $5.00 per share at the date of exercise of the First Option, commencing on the date first set forth above and expiring after three years at the end of business on June 1, 2001 (the "Option Period"); with respect to 80,000 Option Shares (the "Second Option"), which shall be exercisable at an exercise price of $3.75 per Option Share provided that the bid price shall be at least $7.50 per share at the date of exercise of the Second Option, commencing on the date first set forth above and expiring at the end of the Option Period; and with respect to 100,000 Option Shares (the "Third Option"), which shall be exercisable at an exercise price of $5.00 per Option Share provided that the bid price shall be at least $10.00 per share at the date of exercise of the Third Option, commencing on the date first set forth above and expiring at the end of the Option Period. The Options granted hereunder shall be deemed exercised in whole or in part when the Holder shall indicate its decision to do so in writing to the Company and tender payment by check payable to the Company for the number of Option Shares being exercised from time to time, as provided hereinbelow."
TIME AND PRICE. The Holder of the Option, or Holder's designees, may exercise the Option as follows: with respect to 400,000 Option Shares (the "First Option"), which shall be exercisable at an exercise price of $.50 per Option Share, provided that the bid price of the Shares shall be at least $l.00 per Share at the date of exercise of the First Option, commencing on the date first set forth above and expiring after three years at the end of business on June 1, 2001 (the "Option Period"); with respect to 400,000 Option Shares (the "Second Option"), which shall be exercisable at an exercise price of $.75 per Option Share, provided that the bid price of the Shares shall be at least $1.50 per Share at the date of exercise of the Second Option, commencing on the date first set forth above and expiring at the end of the Option Period; and with respect to 500,000 Option Shares (the "Third Option"), which shall be exercisable at an exercise price of $1.00 per Option Share, provided that the bid price of the Shares shall be at least $2.00 per Share at the date of exercise of the Third Option, commencing on the date first set forth above and expiring at the end of the Option Period. The Options granted hereunder shall be deemed exercised in whole or in part when the Holder shall indicate its decision to do so in writing to the Company and tender payment by check payable to the Company for the number of Option Shares being exercised from time to time, as provided hereinbelow.

  • Current Market Price The term "Current Market Price" shall mean (i) if the Company’s common shares are traded in the over-the-counter market or on the National Association of Securities Dealers, Inc. Automated Quotations System ("NASDAQ"), the average per Share closing bid price on the 20 consecutive trading days immediately preceding the date of exercise or date of call by the Company, as reported by NASDAQ or an equivalent generally accepted reporting service, or (ii) if the Shares are traded on a national securities exchange, the average for the 20 consecutive trading days immediately preceding the exercise date or the date of call by the Company of the daily per Share closing prices on the principal stock exchange on which the Shares are listed, as the case may be. The closing price referred to in clause (ii) above shall be the last reported sales price or, if no such reported sale takes place on such day, the average of the reported closing bid and asked prices, in either case on the national securities exchange on which the Shares are then listed.

  • Adjustments in Share Numbers and Prices In the event of any stock split, subdivision, dividend or distribution payable in shares of Common Stock (or other securities or rights convertible into, or entitling the holder thereof to receive directly or indirectly shares of Common Stock), combination or other similar recapitalization or event occurring after the date hereof, each reference in any Transaction Document to a number of shares or a price per share shall be amended to appropriately account for such event.

  • Market Price as of any date, (i) means the average of the last reported sale prices for the shares of Common Stock on the OTCBB for the five (5) Trading Days immediately preceding such date as reported by Bloomberg, or (ii) if the OTCBB is not the principal trading market for the shares of Common Stock, the average of the last reported sale prices on the principal trading market for the Common Stock during the same period as reported by Bloomberg, or (iii) if market value cannot be calculated as of such date on any of the foregoing bases, the Market Price shall be the fair market value as reasonably determined in good faith by (a) the Board of Directors of the Company or, at the option of a majority-in-interest of the holders of the outstanding Warrants by (b) an independent investment bank of nationally recognized standing in the valuation of businesses similar to the business of the corporation. The manner of determining the Market Price of the Common Stock set forth in the foregoing definition shall apply with respect to any other security in respect of which a determination as to market value must be made hereunder.

  • Closing Price Closing Price shall mean the last reported market price for one share of Common Stock, regular way, on the New York Stock Exchange (or any successor exchange or stock market on which such last reported market price is reported) on the day in question. If the exchange is closed on the day on which the Closing Price is to be determined or if there were no sales reported on such date, the Closing Price shall be computed as of the last date preceding such date on which the exchange was open and a sale was reported.

  • Sale Price (a) As consideration for the sale of the CEF Assets pursuant to Section 2.1 hereof, the Purchaser shall pay to the applicable Seller on the Closing Date, the CEF Purchase Price for the CEF Assets sold and transferred by such Seller to the Purchaser on the Closing Date. The CEF Purchase Price for the sale of CEF Assets shall be an amount equal to the fair market value thereof as agreed upon by the Purchaser and the applicable Seller prior to such sale.

  • Price 9. Agent’s commission, if any, determined as provided in the Distribution Agreement.
