Timeline for the Hotels. Owner shall use commercially reasonable efforts to (a) provide or obtain all financial and other resources necessary to complete the development and Construction of the Hotels in accordance with this Agreement, (b) perform all work necessary to cause the Start of Construction to occur prior to [City to provide] , with time being of the essence, and (c) perform all work necessary to cause the Opening Date to occur before [City to provide] , with time being of the essence, all in accordance with the Approved Plans and Specifications, the Design Guide, the Brand Standard and all Applicable Laws.

  • Subcontracting for the Provision of Services (a) The parties acknowledge that, subject to the provisions of LHSIA, the HSP may subcontract the provision of some or all of the Services. For the purposes of this Agreement, actions taken or not taken by the subcontractor, and Services provided by the subcontractor, will be deemed actions taken or not taken by the HSP, and Services provided by the HSP.
