Timing and Effect. The dissolution of the LLC by vote of the Members shall be effective on the date specified in that vote or, if the vote does not specify a date, then on the date of completion of the vote. The date on which the LLC shall deliver a certificate of cancellation or termination of the LLC’s Articles to the Secretary of State for filing and the effective date of this certificate shall be determined by the Members. This Agreement has been duly and validly executed and delivered by each of Purchaser and the Merger Sub and constitutes a legal, valid and binding obligation of each of Purchaser and the Merger Sub, enforceable against each of Purchaser and the Merger Sub in accordance with its terms, subject to applicable bankruptcy, insolvency, fraudulent conveyance, reorganization, moratorium and similar Laws affecting creditors’ rights and remedies generally.

  • Term and Effectiveness This Agreement shall become effective as of the first date written above.
