Title, Duties and Responsibilities. While Executive is employed by the Company, Executive will serve as the Chief Legal Officer and Corporate Secretary of OptiNose, Inc. and will report to the Chief Executive Officer of OptiNose, Inc. Executive will have such duties and responsibilities that are commensurate with Executive’s position and such other duties and responsibilities as are from time to time assigned to Executive by the Chief Executive Officer or the Board of Directors of the OptiNose, Inc. (the “Board”). While Executive is employed by the Company, Executive will devote Executive’s full business time, energy and skill to the performance of Executive’s duties and responsibilities hereunder. Executive will not be permitted to engage in other activities that interfere with Executive’s performance of his duties under this Agreement, conflict with the business of the Company or violate any provisions of Section 8 herein. Executive shall, if requested by the Board, also serve as an officer or director of any affiliate of the Company for no additional compensation. Executive’s place of employment will be the Company’s offices in Yardley, Pennsylvania.

Executive will have such duties and responsibilities that are commensurate with Executive’s position and such other duties and responsibilities as are from time to time assigned to Executive by the President or the Chief Executive Officer or the Board of Directors of the OptiNose, Inc. (the “Board”). Executive will have such duties and responsibilities that are commensurate with Executive’s position and such other duties and responsibilities as are from time to time assigned to Executive by the Chief Executive Officer or the Board of Directors of the OptiNose, Inc. (the “Board”). While Executive is employed by the Company, Executive will devote Executive’s full business time, energy and skill to the performance of Executive’s duties and responsibilities hereunder. While Executive is employed by the Company, Executive will serve Officer has served as the Vice President, Chief Legal Accounting Officer and Corporate Secretary of OptiNose, Inc. and will report currently reporting to the Chief Executive Officer of OptiNose, Inc. Executive (but may in the future report to the President and Chief Operating Officer or the Chief Financial Officer). Officer will have such duties and responsibilities that are commensurate with ExecutiveOfficer’s position as Vice President, Chief Accounting Officer and such other duties and responsibilities as are from time to time assigned to Executive Officer by the Chief Executive Officer or the Board of Directors of the OptiNose, Inc. (the “Board”)President and Chief Operating Officer or Chief Financial Officer. While Executive Officer is employed by the Company, Executive Officer will devote ExecutiveOfficer’s full business time, energy and skill to the performance of ExecutiveOfficer’s duties and responsibilities hereunder. Executive Officer will not be permitted to engage in other activities that interfere with ExecutiveOfficer’s performance of his his/her duties under this Agreement, conflict with the business of the Company or violate any provisions of Section 8 herein. Executive Officer shall, if requested by the Board, also serve as an officer or director of any affiliate of the Company for no additional compensation. ExecutiveOfficer’s place of employment will be the Company’s offices in Yardley, Pennsylvania.

OptiNose US and will report to the President and Chief Executive Operating Officer of OptiNose, Inc. the Parent. Executive will have such duties and responsibilities that are commensurate with Executive’s position as Chief Commercial Officer and such other duties and responsibilities as are from time to time assigned to Executive by the President and Chief Executive Operating Officer or the Board of Directors of the OptiNose, Inc. Parent (the “Board”). While Executive is employed by the Company, Executive will devote Executive’s full business time, energy and skill to the performance of Executive’s duties and responsibilities hereunder. Executive will not be permitted to engage in other activities that interfere with Executive’s performance of his duties under this Agreement, conflict with the business of the Company or violate any provisions of Section 8 herein. Parent (the “Board”). While Executive is employed by the Company, Executive will devote Executive’s full business time, energy and skill to the performance of Executive’s duties and responsibilities hereunder. OptiNose US and will report to the Chief Executive Officer of OptiNose, Inc. Executive (but may in the future report to the Chief Financial Officer). Officer will have such duties and responsibilities that are commensurate with ExecutiveOfficer’s position as VP, Chief Accounting Officer of OptiNose, Inc. and such other duties and responsibilities as are from time to time assigned to Executive Officer by the Chief Executive Officer or the Board of Directors of the OptiNose, Inc. (the “Board”)Chief Financial Officer. While Executive Officer is employed by the Company, Executive Officer will devote ExecutiveOfficer’s full business time, energy and skill to the performance of ExecutiveOfficer’s duties and responsibilities hereunder. Executive Officer shall, if requested by the Board, also serve as an officer or director of any affiliate of the Company for no additional compensation. While Executive is employed by the Company, Executive will devote Executive’s full business time, energy and skill to the performance of Executive’s duties and responsibilities hereunder. Executive will not be permitted to engage in other activities that interfere with the performance of Executive’s performance of his duties under this Agreement, conflict with the business of the Company or violate any provisions of Section 8 herein. Executive shall, if requested by the Board, also serve as an officer or director of any affiliate of the Company for no additional compensation. Executive will have such duties and responsibilities that are commensurate with Executive’s position as Chief Legal Officer and Corporate Secretary, duties and responsibilities for the management of the Company’s compliance and project management functions and such other duties and responsibilities as are from time to time assigned to Executive by the Chief Executive Officer or the Board of Directors of the OptiNose, Inc. Parent (the “Board”). While Executive is employed by the Company, Executive will devote Executive’s full business time, energy and skill to the performance of Executive’s duties and responsibilities hereunder. Executive will not be permitted to engage in other activities that interfere with Executive’s performance of his duties under this Agreement, conflict with the business of the Company or violate any provisions of Section 8 herein. Executive shall, if requested by the Board, also serve as an officer or director of any affiliate of the Company for no additional compensation.
