To DFI s knowledge after due investigation: 1) All of the real property currently or formerly owned or leased by DFI or its subsidiaries along with any other property at which DFI or its subsidiaries have operated (the "Property") is (or, as to Property formerly owned or leased, was during the period of such ownership or lease, and currently is) free of Hazardous Substances (as defined below) or underground storage tanks. 2) The Property is not and never has been subject to a release, emission, spill, dislocation or discharge of any Hazardous Substances. 3) Section 3.01(s) of the DFI Disclosure Schedule lists any environmental site assessments or similar reports pertaining to the Property commissioned or controlled by DFI or in its possession, and copies of same have been provided to SYSCO. 4) DFI has not caused or permitted, nor is it aware that any predecessor in interest has caused or permitted the generation, treatment, handling, production, storage, disposal, release, refinement, dumping or burying of any Hazardous Substances, disposal in, on, or under the Property, nor has DFI caused any of such materials to be delivered to any other property for dumping, burying or any other purpose which was not in accordance with the Environmental Laws (as defined below) in such a manner or to such a location that has or will cause DFI, SYSCO or the Surviving Corporation to incur any liability under the Environmental Laws, including with regard to the handling of Hazardous Substances, and is not a "notifier" under CERCLA or "generator" under RCRA. 5) Except as set forth in Section 3.01(s) of the DFI Disclosure Schedule, any underground storage tank on the Property currently or formerly used in the operations of DFI complies with all Environmental Laws. 6) The information which DFI has provided SYSCO pertaining to the environmental history of the Property for the period during which the Property has been owned or used by DFI is true, correct and complete in all material respects. (ii) There are no agreements between DFI and any governmental agency or any private party concerning the Environmental Laws or relating to Hazardous Substances. (iii) There are no Environmental Laws applicable to DFI or the Property that would require DFI to obtain the approval of or provide notice to any governmental authority which has not been obtained or provided as a condition to the consummation of the transactions contemplated by this Agreement.   • Xxxx and Xx Xxxxxxxx: Pursuant to Section 1(i) of the Investment Management Trust Agreement between Climate Real Impact Solutions II Acquisition Corporation (the “Company”) and Continental Stock Transfer & Trust Company (the “Trustee”), dated as of _________, 2021 (the “Trust Agreement”), this is to advise you that the Company has entered into an agreement with [__________] (the “Target Business”) to consummate a business combination with the Target Business (the “Business Combination”) on or about [insert date]. The Company shall notify you at least seventy-two (72) hours in advance (or such shorter time as you may agree) of the actual date of the consummation of the Business Combination (the “Consummation Date”). Capitalized terms used but not defined herein shall have the meanings set forth in the Trust Agreement.   • Compliance with Legal and Insurance Requirements In its use, maintenance, operation and any alteration of the Leased Properties, Tenant, at its expense, will, subject to the provisions of ARTICLE XII relating to permitted contests, promptly (i) comply with all Legal Requirements and Insurance Requirements, whether or not compliance therewith requires structural changes in any of the Leased Improvements (which structural changes shall be subject to Landlord’s prior written approval, which approval shall not be unreasonably withheld or delayed) or interferes with or prevents the use and enjoyment of the Leased Properties, and (ii) procure, maintain and comply with all licenses, certificates of need, provider agreements and other authorizations required for the use of the Leased Properties and Tenant’s Personal Property then being made, and for the proper erection, installation, operation and maintenance of the Leased Properties or any part thereof. The judgment of any court of competent jurisdiction, or the admission of Tenant in any action or proceeding against Tenant, whether or not Landlord is a party thereto, that Tenant has violated any such Legal Requirements or Insurance Requirements shall be conclusive of that fact as between Landlord and Tenant. Notwithstanding the foregoing, Tenant may from time to time remove beds from service at each Facility without reducing the number of licensed Medicare and Medicaid certified beds that may be operated at such Facility and while retaining the right to return any such beds to service at such Facility (so-called “bed banking”) provided that (i) such removal shall not exceed more than ten percent (10%) of the number of beds at the applicable Facility, (ii) not less than thirty (30) days prior to removing such beds from service, Tenant shall so notify Landlord in writing, which notice shall include, or have delivered therewith, (a) detailed descriptions of the beds being removed, the reasons for such bed removal, estimates of the cost of implementing such bed changes, and the projected impact of such bed changes upon such Facility, and (b) evidence reasonably satisfactory to Landlord that Tenant has obtained all necessary regulatory approvals for the proposed reduction of beds in service, that such beds continue to be considered “licensed” and “certified” beds by the applicable governmental authority and agencies and that Tenant or any successor operator of such Facility retains the right, at the end of the bed banking period, to return such beds to service at the applicable Facility as licensed Medicare and Medicaid certified beds.
