TO PROTECT THE SECURITY OF THIS ASSIGNMENT, THE ASSIGNOR COVENANTS AND AGREES AS FOLLOWS. A. To faithfully abide by, perform and discharge, in all material respects, each and every obligation, covenant and agreement of the Lease by lessee therein to be performed; at the sole cost and expense of the Assignor, to use its best efforts to enforce or secure the performance of each and every obligation, covenant, condition, and agreement of the Lease by the Lessor therein to be performed; and not to modify, release, terminate or in any way alter any material term of the Lease without the Assignor’s prior written consent in each instance, which consent shall not be unreasonably withheld. The Assignor agrees that all consents of the Assignor required under the Lease prior to any action by the Lessor shall only be given after approval of the Assignee, which approval shall not be unreasonably withheld.
