Traditional Authority. During the Construction and Operations Phases of the Xxxxxxxx Project, Opinaca continues to recognize and respect the traditional authority of the Tallymen on the management of the harvesting on the VC22 and VC28 traplines. In addition, Opinaca also continues to recognize and respect the traditional authority of the Tallyman on the management of the harvesting on the VC29 trapline, in accordance with the terms of the letter of undertaking executed between Opinaca and Mr. Michael Mayappo (and his successors), dated March 19, 2007, a copy of which is attached hereto as Schedule 5.3.1 and to the extent that there is no interference with the safe and efficient functioning of the Xxxxxxxx Project.

  • Legal Authority The Contractor warrants and assures H-GAC that it possesses adequate legal authority to enter into this Agreement.   • Governmental Entity “Governmental Entity” shall mean any federal, state, local or foreign court, arbitral tribunal, administrative agency or commission or other governmental or regulatory authority or administrative agency.

  • EMPLOYER AUTHORITY 5.1 The Employer retains the full and unrestricted right to operate and manage all human resources, facilities, and equipment; to establish functions and programs; to set and amend budgets; to determine the utilization of technology; to establish and modify the organizational structure; to select, direct and determine the number of personnel; to establish work schedules; and to perform any inherent managerial function not specifically limited by this agreement. 5.2 Any term and condition of employment not specifically established or modified by this agreement shall remain solely within the discretion of the Employer to modify, establish, or eliminate.
