Transfer Agency Services. In accordance with procedures established from time to time by agreement between the Fund, the Trust and each Portfolio, as applicable, and the Transfer Agent, the Transfer Agent shall: (i) establish each Authorized Participant's account in the applicable Portfolio on the Transfer Agent's recordkeeping system and maintain such account for the benefit of such Authorized Participant; (ii) receive and process orders for the purchase of Creation Units from the Distributor or the Trust, and promptly deliver payment and appropriate documentation thereof to the custodian of the applicable Portfolio as identified by the Trust (the "Custodian"); (iii) generate or cause to be generated and transmitted confirmation of receipt of such purchase orders to the Authorized Participants and, if applicable, transmit appropriate trade instruction to the National Securities Clearance Corporation ("NSCC"); (iv) receive and process redemption requests and redemption directions from the Distributor or the Trust and deliver the appropriate documentation thereof to the Custodian; (v) with respect to items (i) through (iv) above, the Transfer Agent may execute transactions directly with Authorized Participants; (vi) at the appropriate time as and when it receives monies paid to it by the Custodian with respect to any redemption, pay over or cause to be paid over in the appropriate manner such monies, if any, to the redeeming Authorized Participant as instructed by the Distributor or the Trust ; (vii) prepare and transmit by means of DTC's book-entry system payments for any dividends and distributions declared by the Trust on behalf of the applicable Portfolio; (viii) record the issuance of Shares of the applicable Portfolio and maintain a record of the total number of Shares of each Portfolio which are issued and outstanding; and provide the Trust on a regular basis with the total number of Shares of each Portfolio which are issued and outstanding but Transfer Agent shall have no obligation, when recording the issuance of Shares, to monitor the issuance of such Shares to determine if there are authorized Shares available for issuance or to take cognizance of any laws relating to, or corporate actions required for, the issue or sale of such Shares, which functions shall be the sole responsibility of the Trust and each Portfolio; and, excluding DTC or its nominee as the record or registered owner, the Transfer Agent shall have no obligations or responsibilities to account for, keep records of, or otherwise related to, the beneficial owners of the Shares; (ix) maintain and manage, as agent for the Trust and each Portfolio, such bank accounts as the Transfer Agent shall deem necessary for the performance of its duties under this Agreement, including but not limited to, the processing of Creation Unit purchases and redemptions and the payment of a Portfolio's dividends and distributions. The Transfer Agent may maintain such accounts at the bank or banks deemed appropriate by the Transfer Agent in accordance with applicable law; (x) process any request from an Authorized Participant to change its account registration; and (xi) except as otherwise instructed by the Trust, the Transfer Agent shall process all transactions in each Portfolio in accordance with the procedures mutually agreed upon by the Trust and the Transfer Agent with respect to the proper net asset value to be applied to purchase orders received in good order by the Transfer Agent or by the Trust or any other person or firm on behalf of such Portfolio or from an Authorized Participant before cut-offs established by the Trust. Transfer Agency Services. In accordance with procedures established from time to time by agreement between the Fund, Transfer Agent and the Trust and each Portfolioits Portfolios (the “Procedures”), with such changes or deviations therefrom as applicable, and have been (or may from time to time be) agreed upon in writing by the Transfer Agentparties, the Transfer Agent shallagrees that it will perform the following services:
(ia) establish Establish each Authorized Participant's Shareholder’s account in the applicable Portfolio on the Transfer Agent's ’s recordkeeping system and maintain such account for the benefit of such Authorized ParticipantShareholder in accordance with the Procedures;

(h) Prepare and transmit by means of DTC's book-entry system payments for any dividends and distributions declared by the Trust on behalf of the applicable Portfolio;
(viiii) record If applicable, issue replacement certificates for those certificates alleged to have been lost, stolen or destroyed upon receipt by the Transfer Agent of indemnification reasonably satisfactory to the Transfer Agent and protecting the Transfer Agent, the Trust and the applicable Portfolios, and the Transfer Agent at its option, may issue replacement certificates in place of mutilated stock certificates upon presentation thereof and without such indemnity;
(j) Issue replacement checks and place stop orders on original checks based on Shareholder’s representation that a check was not received or was lost. If requested in proper and reasonable form, such stop orders and replacements will be deemed to have been made at the request of a Portfolio, and, as between such Portfolio and the Transfer Agent, the Portfolio shall be responsible for all losses or claims resulting from such replacement;
(k) Maintain records of, account for, and advise the Trust through its Administrator, and the Shareholders as to the foregoing;
(l) Record the issuance of Shares of the applicable Trust and each Portfolio and maintain pursuant to SEC Rule 17Ad-10(e) under the Securities Exchange Act of 1934, as amended, and the rules and regulations thereunder (the “1934 Act”), a record of the total number of full and fractional Shares of the Trust and each Portfolio which are authorized, based upon data provided to it by the Administrator on behalf of the Trust and each Portfolio, and issued and outstanding; and . The Transfer Agent shall also provide the Trust Administrator on a regular basis with the total number of full and fractional Shares of the Trust and each Portfolio which are authorized and issued and outstanding but Transfer Agent shall have no obligation, when recording the issuance of Shares, to monitor the issuance of such Shares to determine if there are authorized Shares available for issuance or to take cognizance of any laws relating to, or corporate actions required for, to the issue or sale of such Shares, which functions shall be the sole responsibility of the Administrator on behalf of the Trust and each Portfolio; and;
(m) Accept any information, excluding DTC records, documents, data, certificates, transaction requests by machine readable input, facsimile, CRT data entry and electronic instructions, including e-mail communications, which have been prepared, maintained or its nominee as provided by the Administrator, the Trust or a Portfolio or any other person or firm on behalf of the Administrator, the Trust or a Portfolio or from broker-dealers of record or registered ownerthird-party administrators (“TPAs”) on behalf of individual Shareholders, or directly from individual Shareholders. With respect to transaction requests received in the foregoing manner, the Transfer Agent shall have no obligations or responsibilities to account fornot be responsible for determining that the original source documentation is in good order, keep records ofwhich includes compliance with Rule 22c-1 under the Investment Company Act of 1940, or otherwise related toas amended (the “1940 Act”), and it will be the beneficial owners responsibility of the SharesAdministrator and Trust to require the Trust’s broker-dealers or TPAs to retain appropriate documentation. E-mail exchanges on routine matters may be made directly with the Administrator and the Trust’s contact at the Transfer Agent;

The Transfer Agent may maintain such accounts at the bank or banks deemed appropriate by the Transfer Agent in accordance with applicable law;
(xo) Receive correspondence pertaining to any former, existing or new Shareholder account, process any request from an Authorized Participant such correspondence for proper recordkeeping and respond to change its account registrationShareholder correspondence; and
(xip) except Process any request from a Shareholder to change account registration, beneficiary, beneficiary information, transfer and rollovers in accordance with the Procedures; and
(q) Except as otherwise instructed by the Administrator on behalf of the Trust, the Transfer Agent shall process all transactions in each Portfolio the Trust in accordance with the procedures mutually agreed upon by the Trust Administrator and the Transfer Agent with respect to the proper net asset value to be applied to purchase orders purchases received in good order by the Transfer Agent or by the Trust Administrator or any other person or firm on behalf of such Portfolio the Administrator or the Trust or from an Authorized Participant broker-dealers of record or third- party administrators or individual Shareholders before cut-offs established by the Trust. (ix) maintain and manage, as agent for the Trust and each PortfolioTrust, such bank accounts as the Transfer Agent shall deem necessary for the performance of its duties under this Agreement, including but not limited to, the processing of Creation Unit Basket purchases and redemptions and the payment of a Portfolio's Trust’s dividends and distributions. The Transfer Agent may maintain such accounts at the bank or banks deemed appropriate by the Transfer Agent in accordance with applicable law;
(x) process any request from an Authorized Participant to change its account registration; and
(xi) except as otherwise instructed by the Trust, the Transfer Agent shall process all transactions in each Portfolio the Trust in accordance with the procedures mutually agreed upon by the Trust and the Transfer Agent with respect to the proper net asset value to be applied to purchase orders received in good order by the Transfer Agent or by the Trust or any other person or firm on behalf of such Portfolio the Trust or from an Authorized Participant before cut-offs established by the Trust. (viivi) prepare and transmit by means of DTC's ’s book-entry system payments for any dividends and distributions declared by the Trust on behalf of the applicable Portfolioa Fund;

If requested in proper and reasonable form, such stop orders and replacements will be deemed to have been made at the request of a Portfolio, and, as between such Portfolio and the Transfer Agent, the Portfolio shall be responsible for all losses or claims resulting from such replacement;
(j) Maintain records of account for and advise the Fund and its Shareholders as to the foregoing;
(k) Record the issuance of Shares of the applicable Fund and each Portfolio and maintain pursuant to SEC Rule 17Ad-10(e) under the Securities Exchange Act of 1934, as amended, and the rules and regulations thereunder (the “1934 Act”), a record of the total number of full and fractional Shares of the Fund and each Portfolio which are authorized, based upon data provided to it by the Fund, and issued and outstanding; and . (vi) at the appropriate time as and when it receives monies paid to it by the Custodian with respect to any redemption, pay over or cause to be paid over in the appropriate manner such monies, if any, to the redeeming Authorized Participant as instructed by the Distributor or the Trust Trust;
(vii) prepare and transmit by means of DTC's book-entry system payments for any dividends and distributions declared by the Trust on behalf of the applicable Portfolio;
(viii) record the issuance of Shares of the applicable Portfolio and maintain a record of the total number of Shares of each Portfolio which are issued and outstanding; and provide the Trust on a regular basis with the total number of Shares of each Portfolio which are issued and outstanding but the Transfer Agent shall have no obligation, when recording the issuance of Shares, to monitor the issuance of such Shares to determine if there are authorized Shares available for issuance or to take cognizance of any laws relating to, or corporate actions required for, the issue or sale of such Shares, which functions shall be the sole responsibility of the Trust and each PortfolioTrust; and, excluding DTC or its nominee as the record or registered ownerowner and excluding the Transfer Agent's responsibilities in (i) above with respect to accounts for Authorized Participants, the Transfer Agent shall have no obligations or State Street: Limited Access Execution Copy responsibilities to account for, keep records of, or otherwise related to, the beneficial owners of the Shares;

(xiv) accept any information, records, documents, data, certificates, transaction requests in good order by the Transfer Agent printed form or by the Trust machine readable input, facsimile, data entry and electronic instructions, including email communications, which have been prepared, maintained or provided by a Fund or any other person or firm on behalf of such Portfolio the Fund or from an Authorized Participant before cutbroker-offs established by dealers of record or third-party administrators (“TPAs”) on behalf of individual Shareholders or directly from individual Shareholders. With respect to transaction requests received in the Trustforegoing manner, the Transfer Agent shall not be responsible for determining that the original source documentation is in good order, which includes compliance with Rule 22c-1 under the Investment Company Act of 1940, as amended (the “1940 Act”), and it will be the responsibility of a Fund to require its broker-dealers or TPAs to retain appropriate documentation. E-mail exchanges on routine matters may be made directly with a Fund’s contact at the Transfer Agent. The Transfer Agent shall report will not act on any e-mail communications coming to it directly from Shareholders requesting transactions, including, but not limited to, monetary transactions, change of ownership, or beneficiary changes;

(viiih) record Issue replacement certificates for those certificates alleged to have been lost, stolen or destroyed upon receipt by the Transfer Agent of indemnification satisfactory to the Transfer Agent and protecting the Transfer Agent, the Administrator, and the Fund, and the Transfer Agent at its option, may issue replacement certificates in place of mutilated stock certificates upon presentation thereof and without such indemnity;
(i) Maintain records of account for and advise the Fund and its Shareholders as to the foregoing; and
(j) Record the issuance of Shares of the applicable Portfolio Fund and maintain pursuant to SEC Rule 17Ad-10(e) a record of the total number of Shares of each Portfolio the Fund which are authorized, based upon data provided to it by the Administrator on behalf of the Fund, and issued and outstanding; and . The Transfer Agent shall also provide the Trust Administrator or the Fund on a regular basis with the total number of Shares of each Portfolio which are authorized and issued and outstanding but Transfer Agent and shall have no obligation, when recording the issuance of Shares, to monitor the issuance of such Shares to determine if there are authorized Shares available for issuance or to take cognizance of any laws relating to, or corporate actions required for, to the issue or sale of such Shares, which functions shall be the sole responsibility of the Trust and each Portfolio; and, excluding DTC Administrator or its nominee as the record or registered owner, the Transfer Agent shall have no obligations or responsibilities to account for, keep records of, or otherwise related to, the beneficial owners of the Shares;

(viiih) record Issue replacement certificates for those certificates alleged to have been lost, stolen or destroyed upon receipt by the Transfer Agent of indemnification satisfactory to the Transfer Agent and protecting the Transfer Agent and the Fund, and the Transfer Agent at its option, may issue replacement certificates in place of mutilated stock certificates upon presentation thereof and without such indemnity;
(i) Maintain records of account for and advise the Fund and its Shareholders as to the foregoing; and
(j) Record the issuance of Shares of the applicable Portfolio Fund and maintain pursuant to SEC Rule 17Ad-10(e) a record of the total number of Shares of each Portfolio the Fund which are authorized, based upon data provided to it by the Fund, and issued and outstanding; and . The Transfer Agent shall also provide the Trust Fund on a regular basis with the total number of Shares of each Portfolio which are authorized and issued and outstanding but Transfer Agent and shall have no obligation, when recording the issuance of Shares, to monitor the issuance of such Shares to determine if there are authorized Shares available for issuance or to take cognizance of any laws relating to, or corporate actions required for, to the issue or sale of such Shares, which functions shall be the sole responsibility of the Trust and each Portfolio; and, excluding DTC or its nominee as the record or registered owner, the Transfer Agent shall have no obligations or responsibilities to account for, keep records of, or otherwise related to, the beneficial owners of the Shares;
(ix) maintain and manage, as agent for the Trust and each Portfolio, such bank accounts as the Transfer Agent shall deem necessary for the performance of its duties under this Agreement, including but not limited to, the processing of Creation Unit purchases and redemptions and the payment of a Portfolio's dividends and distributions. The Transfer Agent may maintain such accounts at the bank or banks deemed appropriate by the Transfer Agent in accordance with applicable law;
(x) process any request from an Authorized Participant to change its account registration; and
(xi) except as otherwise instructed by the Trust, the Transfer Agent shall process all transactions in each Portfolio in accordance with the procedures mutually agreed upon by the Trust and the Transfer Agent with respect to the proper net asset value to be applied to purchase orders received in good order by the Transfer Agent or by the Trust or any other person or firm on behalf of such Portfolio or from an Authorized Participant before cut-offs established by the Trust. Transfer Agency Services. (iib) receive Maintain Plan Accounts on its records in the name of the trustee or custodian of each Plan, as the case may be, for the benefit of the Plans;
(c) Receive for acceptance and process orders for the purchase of Creation Units from the Distributor or the TrustShares by Plan Account, and promptly deliver payment and appropriate documentation thereof to the custodian Custodian of the applicable Portfolio as identified by Fund authorized pursuant to the Trust organizational documents of the Fund (the "“Custodian"”);
(iiid) generate or cause Pursuant to be generated purchase orders, issue the appropriate number of Shares and transmitted confirmation of receipt of hold such purchase orders to Shares in the Authorized Participants and, if applicable, transmit appropriate trade instruction to the National Securities Clearance Corporation ("NSCC")Plan accounts;
(ive) receive Receive for acceptance and process redemption requests and redemption directions from the Distributor or the Trust and deliver the appropriate documentation thereof to the Custodian;
(vf) with respect to items (i) through (iv) above, the Transfer Agent may execute transactions directly with Authorized Participants;
(vi) at At the appropriate time as and when it receives monies paid to it by the Custodian with respect to any redemption, pay over or cause to be paid over in the appropriate manner such monies, if any, to the redeeming Authorized Participant monies as instructed by the Distributor or the Trust redeeming authorized Plan Account owners;
(viig) prepare Effect transfers of Shares by the authorized Plan Account owners thereof upon receipt of appropriate instructions;
(h) Prepare and transmit by means of DTC's book-entry system payments for any dividends and distributions declared by the Trust on behalf of the applicable Portfolioeach Fund;
(viiii) record Issue replacement checks and place stop orders on original checks based on Plan Account owner representations that a check with respect to a Plan closing was not received or was lost. Such stop orders and replacements will be deemed to have been made at the request of the Fund, and, as between the Fund and the Transfer Agent, the Fund shall be responsible for all losses or claims resulting from such replacement;
(j) Record the issuance of Shares of the applicable Portfolio by Plan and maintain pursuant to SEC Rule 17Ad-10(e) a record of the total number of Shares of each Portfolio a Fund which are authorized, based upon data provided to it by the Fund, and issued and outstanding; and provide the Trust on a regular basis with the total number of Shares of each Portfolio which are issued and outstanding , but Transfer Agent shall have no obligation, when recording the issuance of Shares, to monitor the issuance of such Shares to determine if there are authorized Shares available for issuance or to take cognizance of any laws relating to, or corporate actions required for, to the issue or sale of such Shares, which functions shall be the sole responsibility of the Trust Fund;
(k) Accept any information, records, documents, data, transaction requests by machine readable input, facsimile, CRT data entry and each Portfolio; andelectronic instructions, excluding DTC including e-mail communications, which have been prepared, maintained or its nominee as provided by the record Fund or registered owneron behalf of Plan Account owners. With respect to transaction requests received in the foregoing manner, the Transfer Agent shall have no obligations or responsibilities to account for, keep records of, or otherwise related to, not be responsible for determining that the beneficial owners of original source documentation is in good order. E-mail exchanges on routine matters may be made directly with the SharesFund’s contact at the Transfer Agent;
(ixl) maintain Maintain and manage, as agent for the Trust and each PortfolioFund, such bank accounts as the Transfer Agent shall deem necessary for the performance of its duties under this Agreement, including but not limited to, the processing of Creation Unit Share purchases and redemptions and the payment of a Portfolio's Fund dividends and distributions.
