Transfer and Delivery of Purchased Assets. The Seller hereby agrees to deliver to the Buyer all such bills of sale, assignments, instruments of transfer, consents and other documents as are necessary or desirable to effectively transfer to the Buyer the Purchased Assets and hereby delivers up to the Buyer possession of the Purchased Assets, free and clear of all Encumbrances (other than Permitted Encumbrances).
Transfer and Delivery of Purchased Assets. Subject to compliance with the terms and conditions hereof: (i) the transfer of possession of the GalaxSea Assets shall be deemed to take effect as of the Effective Date, commencing at midnight on the Escrow Release Date; and (ii) the transfer of possession of the International Tours Assets shall be deemed to take effect as of midnight on the Closing Date as of the Effective Date.
Transfer and Delivery of Purchased Assets. At the Closing, the Seller shall deliver or cause to be delivered to the Purchaser a Bill of Sale, substantially in the form attached hereto as Annexure B, pursuant to which the Seller will record the delivery and conveyance of the Assets to the Purchaser, and the Purchaser shall record the receipt of the same;

The Seller shall, and shall cause its Affiliates to, execute and deliver to the Buyer all such bills of sale, transfers, assignments, instruments of transfer, deeds, assurances, consents, and other documents as shall be necessary to effectively transfer to the Buyer good and marketable title to and interest in the Purchased Assets, free and clear of all Liens (other than Permitted Liens) and to permit the Buyer to effect such registrations, recordings and filings with public authorities as may be required in connection with the transfer of ownership to the Buyer of the Purchased Assets; and the Seller shall deliver up to the Buyer possession of the Purchased Assets.
Transfer and Delivery of Purchased Assets the Vendor shall execute and deliver to the Purchaser (and with respect to the Owned Real Property, to the Real Property Purchasers) all such bills of sale, assignments, instruments of transfer, deeds, assurances, consents and other documents as shall be necessary to effectively transfer to the Purchaser and the Real Property Purchasers, the Purchased Assets purchased by each of them, respectively; the Vendor shall deliver up to the Purchaser and the Real Property Purchasers possession of the Purchased Assets purchased by each of them, free and clear of all Encumbrances (other than Permitted Encumbrances); and

WW Limited shall execute and deliver to HKSub all such bills of sale, assignments, instruments of transfer, deeds, assurances, consents and other documents as shall be necessary or desirable to effectively transfer to HKSub the WW Limited Assets; WW Limited shall deliver up to HKSub possession of the WW Limited Assets free and clear of all Encumbrances (other than Permitted Encumbrances).
Transfer and Delivery of Purchased Assets. WW Group shall execute and deliver to Cansub all such bills of sale, assignments, instruments of transfer, deeds, assurances, consents and other documents as shall be necessary or desirable to effectively transfer to Cansub the WW Group Assets; WW Group shall deliver up to Cansub possession of the WW Group Assets free and clear of all Encumbrances (other than Permitted Encumbrances).
Transfer and Delivery of Purchased Assets. WW Marketing shall execute and deliver to USSub all such bills of sale, assignments, instruments of transfer, deeds, assurances, consents and other documents as shall be necessary or desirable to effectively transfer to USSub the WW Marketing Assets; WW Marketing shall deliver up to USSub possession of the WW Marketing Assets free and clear of all Encumbrances (other than Permitted Encumbrances).
Transfer and Delivery of Purchased Assets the Vendor shall execute and deliver to the Purchaser all such bills of sale, assignments, instruments of transfer, deeds, assurances, consents and other documents as shall be necessary to effectively transfer to the Purchaser all the Vendor's right, title and interest in, to and under, or in respect of, the Purchased Assets; shall deliver up to the Purchaser possession of the Purchased Assets, free and clear of all Encumbrances (other than Permitted Encumbrances). In connection with the transfer of ownership to the Purchaser of the Purchased Assets, the Vendor shall effect the registrations, recordings and filings with public authorities required to discharge any Encumbrances (other than Permitted Encumbrances) on the Purchased Assets or which may be required to be made or filed by it and the Purchaser shall effect the other registrations, recordings and filings with public authorities.
Transfer and Delivery of Purchased Assets. The Seller shall execute and deliver or cause to be executed and delivered to the Purchaser a Bill of Sale, and such other assigxxxxts, instruments of transfer, assurances, consents and other documents as shall be necessary to effectively transfer to the Purchaser As-Is Where-Is all the Seller's right, title and interest in, to and under, or in respect of, the Purchased Assets which documents shall have been prepared by Purchaser. Seller shall execute and deliver all assignments, and other instruments of transfer as shall be necessary to effectively transfer Seller's interest in the Real Estate to Purchaser. The Seller and Shareholder shall co-operate with the Purchaser, at such time or thereafter, in effecting the registrations, recordings and filings with public authorities as may be required in connection with the transfer of ownership of the Purchased Assets and Real Estate to the Purchaser. All costs in connection with such registrations and filings and any mortgage and/or transfer taxes shall be borne by Purchaser.
