Transfer Mechanism for Data Transfers. Any transfers of Personal Data under this DPA from the European Union, the European Economic Area and/or their member states, and the United Kingdom to countries which do not ensure an adequate level of data protection within the meaning of Applicable Laws of the foregoing territories, shall, to the extent such transfers are subject to such Applicable Laws, be made pursuant to the Standard Contractual Clauses set forth in Schedule 2 to this DPA.
Transfer Mechanism for Data Transfers. 11.1. For any transfers of Personal Data under this DPA from the European Union, the European Economic Area and/or their member states, Switzerland, and the United Kingdom to countries which do not ensure an adequate level of data protection within the meaning of Data Protection Laws and Regulations of the foregoing territories, to the extent such transfers are subject to such Data Protection Laws and Regulations, the Standard Contractual Clauses set forth in Attachment 1 and Appendices 1-3 to this DPA shall apply.

Subject to the terms of this DPA, SmartSimple makes available the transfer mechanism listed below which shall apply, to any transfers of Personal Data under this DPA from the European Union, the European Economic Area and/or their member states, Switzerland and the United Kingdom to countries which do not ensure an adequate level of data protection within the meaning of Data Protection Laws and Regulations of the foregoing territories, to the extent such transfers are subject to such Data Protection Laws and Regulations: The Standard Contractual Clauses set forth in Schedule 3 to this DPA apply to the Services and are subject to the additional terms in Section 3 of Schedule 1 (Transfer Mechanism for European Data Transfers).
Transfer Mechanism for Data Transfers. Subject to the additional terms in this Section 11.3, to the extent the Services involve a transfer of Personal Data originating from the European Union, the European Economic Area and/or their member states, Switzerland and the United Kingdom to Sub-processors located in countries outside the European Union, the European Economic Area and/or their member states, Switzerland and the United Kingdom that have not received a binding adequacy decision by the European Commission or by a competent national EEA data protection authority, such transfers are subject to the terms of the Standard Contractual Clauses incorporated into this Data Processing Addendum by reference, which are subject to the additional terms in this Section 11.3 below. For the purposes of the Standard Contractual Clauses, Client and BE agree that (i) Client will act as the data exporter on Client’s own behalf and on behalf of any of Client’s entities, (ii) Brand Embassy will act on its own behalf and/or on behalf of the relevant Brand Embassy Affiliates as the data importers, (iii) any third party Sub-processors will act as ‘subcontractors’ pursuant to Clause 11 of the Standard Contractual Clauses.
Transfer Mechanism for Data Transfers. 11.1. If and to the extent CDATA’S performance or Customer’s use of the Services involve an EEA Restricted Transfer, CDATA and Customer hereby enter into the EU Standard Contractual Clauses attached hereto as Attachment 1 to this DPA and agree that the EU Standard Contractual Clauses will govern the parties’ obligations with respect to the EEA Restricted Transfer. To the extent there is any conflict between the EU Standard Contractual Clauses and the terms of this DPA, the EU Standard Contractual Clauses will prevail with respect to the EEA Restricted Transfer.
