Transferability of RSUs. The RSUs may not be transferred in any manner other than by will or by the laws of descent and distribution. Notwithstanding the foregoing, Participant may designate one or more beneficiaries of Participant's RSUs in the event of Participant's death on a beneficiary designation form provided by the Committee. The terms of this Award Agreement shall be binding upon the executors, administrators, heirs, successors and transferees of Participant.

Transferability of RSUs. The RSUs shall not be transferable by you otherwise than (i) by will or (ii) by the laws of descent and distribution. Any transferred RSU shall continue to be subject to these Terms and Conditions.

Transferability of RSUs. This Award and the RSUs may not be sold, transferred, pledged, assigned, or otherwise alienated or hypothecated, provided that in the event of your death, shares deliverable or amounts payable with respect to the RSUs shall be delivered or paid, as applicable, to your designated beneficiary. You will be advised by the Company’s Human Resources Department with respect to the procedures for naming and changing designated beneficiaries.
Transferability of RSUs. Subject to Section 15 of the Plan, the rights of the Participant under this Agreement, the RSUs (prior to settlement) and any interest therein or in any Common Stock underlying such RSUs shall not be transferable other than by will or by the laws of descent and distribution. Upon any attempt to transfer, assign, pledge, hypothecate, or otherwise dispose of the RSUs or any related rights to the RSUs that is contrary to the provisions of this Agreement or the Plan, or upon the levy of any attachment or similar process upon the RSUs or such rights, the RSUs and such rights shall immediately become null and void.

Transferability of RSUs. Except as otherwise provided herein, the Participant may not sell, transfer, pledge, assign or otherwise alienate or hypothecate RSUs other than by will or the laws of descent and distribution or equivalent laws in the jurisdiction of the Participant’s employment. Any attempt to transfer RSUs in contravention of this Section 5 is void ab initio.

Transferability of RSUs. Except as may be permitted by the Committee, neither the RSUs nor any rights of the Participant with respect thereto shall be assignable, alienable, saleable or transferable by the Participant other than (a) by will or pursuant to the laws of descent and distribution or (b) by order of any court of competent jurisdiction, including with respect to any domestic relations order or divorce decree. Any attempts to assign, alienate, sell or otherwise transfer the RSUs (or any of the Participant’s rights with respect thereto) shall be void and the Participant’s rights to the RSUs shall therefore be forfeited.
