Transfers Free and Clear. Any transfer of securities pursuant to this Plan of Arrangement shall be free and clear of all Liens, claims and encumbrances.

Venoco, LLC and Ellwood Pipeline, Inc., represent and warrant that they are the only entities with any right, title or interest in the assets to be sold, transferred and assigned by Venoco to Chevron under this Agreement, including the real property, personal property, and fixtures. All sales, transfers, and assignments made under this Agreement shall be free and clear of all liens, claims, encumbrances, and interests (other than permitted encumbrances set forth on Exhibit 3).
