The appointment, rights, powers and obligations of Stockholders’ Agent under this Agreement, the Escrow Agreement and the Paying Agent Agreement are exclusive and no Stockholder or Company Option Holder shall have the right to assert any such right or power granted to Stockholders’ Agent hereunder.
