Treatment of Existing Liens and Mortgages. On the date of Closing, the Property shall be free of any liens or mortgages which encumber the Property, or such liens and mortgages have been subordinated to the agricultural easement interest of XXX as required by OAC § 901-2-02(A)(4) or which ODA deems could affect the intent of the easement. Landowner and/or Local Sponsor shall be held responsible for obtaining and recording all such subordinations, lien releases and/or mortgage releases and provide such releases and/or subordinations to ODA prior to the Closing.

Treatment of Existing Liens and Mortgages. On the Closing Date, the Property shall be free of any liens or mortgages or such liens and mortgages shall be subordinate to the Easement interest of ODA/State that Landowner or Landowner's predecessors have put on the Property, which OAC Section 901-2-02(A)(3) requires or ODA deems could affect the intent of the Easement. Landowner shall be held responsible for obtaining all such subordinations, lien releases and/or mortgage releases and provide such releases and/or subordinations to ODA prior to the closing date. [If necessary, specify how current mortgage will be handled, e.g., Landowner agrees to pay off the existing mortgage on Property with the purchase payments provided by ODA, and to have the existing mortgage cancelled or subordinate to ODA]. Conditions of Title Landowner must have good and marketable title with an unbroken chain of title of record for at least forty years prior to the grant to Landowner. For the purposes of this Agreement, a ''good and marketable title'' shall be defined as a title that is free and clear of all liens, easements, restrictions, and encumbrances, other than current taxes due. In addition, Landowner's title must not be subject to any interests other than those interests specifically described in the title search or Landowners application. Appraisal ODA may obtain a comparable land appraisal at Landowner’s expense. If costs are incurred by ODA for either of this service, ODA must be reimbursed for costs incurred by deducting said costs from purchase price at closing.

Title to all property purchased or furnished by the Contractor for which the Contractor is entitled to reimbursement by DSHS under this Contract shall pass to and vest in DSHS. The Contractor shall protect, maintain, and insure all DSHS property in its possession against loss or damage and shall return DSHS property to DSHS upon Contract termination or expiration.

Should Tenant fail to discharge the lien within thirty (30) days, then Landlord may discharge the lien. The amount paid by Landlord to discharge the lien (whether directly or by bond), plus all administrative and legal costs incurred by Landlord, shall be additional rent payable on demand. The remedies provided herein shall be in addition to all other remedies available to Landlord under this Lease or otherwise. The parties hereto agree that in no event shall the interest of Landlord be subject to the liens for improvements made by Tenant, and this expressly prohibits such liability. Pursuant to Section 713.10, Florida Statutes, this provision specifically provides that no interest of Landlord shall be subject to liens for improvements made by the Tenant at or under Tenant’s direction. This provision shall serve as notice to all potential construction lienors that Landlord shall not be liable for and the Facility Premises shall not be subject to liens for work performed or materials supplied at Tenant’s request or at the request of anyone claiming an interest by, through or under Tenant. Further, any contractor, vendor, supplier or other party providing work or services to and for the Premises that is entitled to a mechanic’s lien pursuant to Chapter 713, Florida Statutes, shall look solely to the leasehold interest of the Tenant in the Lease and may not encumber the fee title to the Premises owned by the Landlord. Tenant shall provide notice of this provision to all contractors, vendors, suppliers, and other parties providing work or materials at the Premises. The foregoing provision shall be included in any recorded notice under Section 713.10, Florida Statutes, or memorandum of this Lease.
