UCC Report. A report dated not more than ten (10) days prior to the Closing Date of the appropriate filing officers in the applicable jurisdictions evidencing no judgments, financing statements, tax liens, mechanics', materialmen's or other statutory liens, except for Permitted Liens, on file with respect to the Assets, and, if such report evidences that judgments, financing statements, tax liens, mechanics', materialmen's or other statutory liens are on file with respect to any of the Assets, a termination statement or other appropriate document signed by the secured party or lienholder evidencing the release or termination of such financing statement or such lien or a pay-off letter from such secured party or lienholder indicating that such party or lienholder will provide such release or termination statement upon receipt of payment from the proceeds of the sale contemplated herein.
UCC Report. A report dated not more than ten (10) days prior to the Closing Date of the appropriate filing officers in the States of Alabama and Arizona with respect to judgments, financing statements, tax liens, mechanics, materialmen or other statutory liens on file with respect to the Assets.
UCC Report. A report from the offices where Uniform Commercial Code financing statements would be properly filed with respect to property and interests of the Company located in the State of Alabama indicating that there are no liens against that portion of the Collateral constituting personal property except for liens as shall be acceptable to the Bank.
UCC Report. The UCC Reports (as defined below), which have not yet been obtained but will be delivered to Purchaser within ten (10) business days after the Effective Date.
UCC Report. A report dated not more than ten (10) days prior to the Closing Date of the appropriate filing officers in the jurisdictions specified in Schedule 10.2.4 regarding absence of filings with their respective offices under the Uniform Commercial Code of financing statements naming Seller as debtor with respect to any of the Assets.
UCC Report. A report of the appropriate filing officers in the ---------- jurisdictions specified in Schedule 9.02(c) regarding absence of filings with ---------------- their respective offices under the Uniform Commercial Code of financing statements naming Seller as debtor with respect to any of the Assets, except for those financing statements relating to the encumbrances listed on Schedule -------- 9.02(c) which will be terminated simultaneously with the Closing. Such report ------- shall be dated not more than ten (10) days prior to the Closing Date.
UCC Report. The UCC Report (defined below).
UCC Report. Seller shall cause to be delivered to Purchaser copies of the U.C.C. Report, within fifteen (15) days of the Effective Date.
UCC Report. Within 20 days after the execution of this Agreement, Seller shall deliver to Buyer's counsel a UCC report (the "UCC REPORT") with respect to Seller and any trade names under which the Property has been operated during the last three years from any governmental offices in the Virgin Islands in which financing statements are required to be filed in order to perfect a security interest in the property covered thereby.
UCC Report. On the Closing Date, there shall have been delivered by each Transferor, a report, dated as of the most recent practicable date, showing an absence of Uniform Commercial Code filings with respect to such Transferor's Interest.
