UCC Reports means Tax, judgment, litigation, bankruptcy and UCC 1 financing statement reports of searches of the Uniform Commercial Code records for each Transferor and Owner Entities, including the Partnerships of both the county and State in which the Real Property is located and the state of such Person's formation.

Examples of UCC Reports in a sentence

  • Notwithstanding the foregoing, Brandywine OP shall not be required to take title to the Real Property subject to any matters which (i) may arise subsequent to the effective date of the Title Commitment, UCC Reports and Survey examined by Brandywine OP during the Study Period and (ii) impairs title to any portion of the Property and will not be released or bonded against on or before the Closing Date.

  • All title matters revealed by the Title Commitment, UCC Reports and Survey (other than those set forth on Exhibit B) shall be deemed Permitted Title Exceptions.

  • The UCC Reports (as defined below), which have not yet been obtained but will be delivered to Purchaser within ten (10) business days after the Effective Date.

Related to UCC Reports

  • Public Reports includes all reports filed by Company under the Act or the Exchange Act, including pursuant to Section 13(a) or 15(d) thereof, for the two full fiscal years preceding the Effective Date and thereafter.

  • SOS Reports means the official reports from the Secretaries of State of each Collateral State, Chief Executive Office State and the Borrower State and other applicable federal, state or local government offices identifying all current security interests filed in the Collateral and Liens of record as of the date of such report.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Periodic Reports means all of the Company’s reports required to be filed by the Company with the Commission under applicable laws and regulations (including, without limitation, Regulation S-K), including annual reports (on Form 10-K), quarterly reports (on Form 10-Q), and current reports (on Form 8-K), for so long as any amounts are outstanding under this Note; provided that all such Periodic Reports shall include, when filed, all information, financial statements, audit reports (when applicable) and other information required to be included in such Periodic Reports in compliance with all applicable laws and regulations.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Company Reports has the meaning set forth in Section 3.08(a).

  • SEC Reports shall have the meaning ascribed to such term in Section 3.1(h).

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • GLJ Report means the independent engineering reserves evaluation of certain oil, NGL and natural gas interests of the Company prepared by GLJ dated February 7, 2019 and effective December 31, 2018.

  • Filing Statements is defined in Section 5.1.13.

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Engineering Reports has the meaning assigned such term in Section 2.07(c)(i).

  • MI Report means a report containing Management Information submitted to the Authority in accordance with Framework Schedule 8 (Management Information);

  • RBC report means the report required by K.S.A. 40-2c02, and amendments thereto.

  • Statutory Financial Statements means, with respect to any Party, the annual and quarterly statutory financial statements of such Party filed with the Governmental Authority charged with supervision of insurance companies in the jurisdiction of domicile of such Party to the extent such Party is required by Applicable Law to prepare and file such financial statements.

  • Environmental Reports means each and every “Phase I Environmental Site Assessment” (and, if applicable, “Phase II Environment Site Assessment”) as referred to in the ASTM Standards on Environmental Site Assessments for Commercial Real Estate, E 1527-2000 and an asbestos survey, with respect to each Mortgaged Property, prepared by one or more Environmental Auditors and delivered to Lender and any amendments or supplements thereto delivered to Lender.

  • Third Party Reports With respect to any Mortgaged Property, the related Appraisal, Phase I environmental report, Phase II environmental report, seismic report or property condition report, if any.

  • Company Financial Statements has the meaning set forth in Section 3.6(a).

  • Financial Statements has the meaning set forth in Section 3.06.

  • Pick Up Report means the report detailing the number of sleeping rooms per day actually used out of the Program’s room block.

  • SEC Report means, with respect to any Calendar Quarter, the Corporation’s Annual Report on Form N-CSR, Semi-Annual Report on Form N-SAR, or Quarterly Report on Form N-Q, as applicable, filed by the Corporation with the Securities and Exchange Commission with respect to the fiscal period ending as of the last day of such Calendar Quarter.

  • Collateral Reports means the reports with respect to the Collateral referred to in Annex F.

  • Required Reports Collectively, the Monthly Report, the Servicer’s Certificate required pursuant to Section 6.10(c), the financial statements of the Servicer required pursuant to Section 6.10(d), the annual statements as to compliance required pursuant to Section 6.11, and the annual independent public accountant’s report required pursuant to Section 6.12.

  • Seller Financial Statements has the meaning set forth in Section 3.5(a).

  • Reports means the reports described in Schedule B as well as any other reports or information required to be provided under the Enabling Legislation or this Agreement;

  • Company Filings means all documents publicly filed by or on behalf of the Company on SEDAR since January 1, 2014.
