Unauthorized Advertising. In the event any unapproved or disapproved Advertising or promotions occur (including without limitation, point of sale/point of purchase materials), GUESS may (in addition to all other rights), at its sole election, collect from LICENSEE up to * for each such unapproved or disapproved Advertisement and/or promotion. In the event GUESS, at its sole election, determines to collect up to the * for each such unapproved or disapproved Advertisement or promotion, such payment will be due within five (5) days of GUESS giving notice, and will be considered to be an amount owed under this Agreement. LICENSEE acknowledges that calculation of damages to GUESS resulting from any unapproved or disapproved Advertisement or promotion is difficult to ascertain and that, if in GUESS's sole discretion, GUESS elects to collect up to * for each such Advertisement and/or promotion, such sum will constitute a reasonable amount in relation to such breach of this Agreement.
Unauthorized Advertising. [SELECTED RESPONDENT] shall not place or allow the placement of any Advertising Signage in or on the Terminals other than in the Advertising Areas, without the prior written consent of NYCEDC, and, upon one Business Day’s notice when such notice is by email, fax or personal delivery (or upon three Business Day’s notice when such notice is by overnight mail or regular mail or other forms of providing notice), [SELECTED RESPONDENT] shall make best efforts to remove within twenty-four hours (and shall have removed within seventy-two hours) any and all unauthorized advertising or signage. If [SELECTED RESPONDENT] fails to remove such unauthorized Advertising Signage, advertising or signage within the said time period, NYCEDC may remove it and will charge [SELECTED RESPONDENT] for the cost of removal.
Unauthorized Advertising. In case of advertising not provided for and in any case not authorized by the Company, or exceeding the limits of the au- thorization itself, the Company reserves the right to directly remove the artifacts, structures, or anything else, charging the defaulting party for the related expenses and/or applying the penalties provided for in the last paragraph of Article 20.

  • Unauthorized Use The Participating Institutions, or the Authorized Users shall not knowingly permit anyone other than the Authorized Users to access the Licensed Materials.

  • Unauthorized Aliens Consultant hereby promises and agrees to comply with all of the provisions of the Federal Immigration and Nationality Act, 8 U.S.C.A. §§ 1101, et seq., as amended, and in connection therewith, shall not employ unauthorized aliens as defined therein. Should Consultant so employ such unauthorized aliens for the performance of work and/or services covered by this Agreement, and should any liability or sanctions be imposed against City for such use of unauthorized aliens, Consultant hereby agrees to and shall reimburse City for the cost of all such liabilities or sanctions imposed, together with any and all costs, including attorneys’ fees, incurred by City.
