University’s Responsibility. By entering into this Agreement, the Vendor acknowledges that the equipment listed above will not be insured by University, and University will not be liable for any theft, loss, or damage to the equipment whatsoever. University’s sole liability for loss or damage shall be limited to that resulting from its gross negligence or intentional acts and shall in no event exceed the stated value of the equipment listed above.

University’s Responsibility. The University is responsible for the dissemination of the Journal and its contents in various ways. The University has standing agreements with educational photocopying, secondary publishing and abstracting/indexing services which reach many people and institutions that do not necessarily subscribe to the Journal. Some of these agreements also encompass document delivery, CD-ROM and electronic reproduction and distribution of journal articles on the Internet or by emerging technology. In order to include your article in these agreements and therefore reach a larger audience, we require a worldwide nonexclusive license from you to allow the University to do the following: to permit others to make photocopies of the article for classroom use only; to permit others to create abstracts of the article; and to permit secondary publishers to reproduce the article in microfilm or any computer-readable form, including electronic on-line databases and document delivery systems. This license will endure for the entire term of copyright in the article in all media.

  • Joint Responsibility If the Seller determines that the Interface Problem is attributable partially to the design of a Warranted Part and partially to the design of any Supplier Part, the Seller will, if so requested by the Buyer, seek a solution to the Interface Problem through cooperative efforts of the Seller and any Supplier involved. The Seller will promptly advise the Buyer of such corrective action as may be proposed by the Seller and any such Supplier. Such proposal will be consistent with any then existing obligations of the Seller hereunder and of any such Supplier towards the Buyer. Such corrective action, unless reasonably rejected by the Buyer, will constitute full satisfaction of any claim the Buyer may have against either the Seller or any such Supplier with respect to such Interface Problem.

  • Licensee’s Responsibilities Licensee will be responsible for any and all damage to or relocation of existing facilities. Further, Licensee shall reimburse the City for all costs of replacing or repairing any property of the City, or of others, that is damaged by or on behalf of Licensee as a result of activities under this Agreement.

  • Employee’s Responsibility WORK START TIME Employees shall be in their respective assigned working locations, ready to commence work at their designated starting times, and they shall not leave their working locations at times or in a manner inconsistent with the terms of this Agreement.

  • Authority’s Responsibilities Authority will perform maintenance and repairs to the parking lot and concrete paving of the Common Use Areas and will perform maintenance and repairs to the Cargo Building, including (1) the roof (structure and membrane), foundation, load bearing walls, and other structural elements; and (2) exterior maintenance (painting and landscaping). Authority retains the right, after giving reasonable advance notice to Company, to enter upon the Premises to perform any repair thereon, including utilities, which serves, in whole or in part, areas other than the Premises. Authority will endeavor to use commercially reasonable efforts to minimize interference with Company’s activities.

  • CONTRACTOR'S RESPONSIBILITY Nothing herein shall be construed as limiting in any way the extent to which contractor/renter may be held responsible for damages resulting from contractor/renter’s operations, acts, omissions or negligence. Insurance coverage obtained in the minimum amounts specified above shall not relieve contractor/renter of liability in excess of such minimum coverage, nor shall it preclude the fair from taking other actions available to it under contract documents or by law, including, but not limited to, actions pursuant to contractor/renter’s indemnity obligations. The contractor/renter indemnity obligations shall survive the expiration, termination or assignment of this contract.
