The "Upstream and Downstream" clause defines the relationship and flow of obligations, rights, or information between different parties in a contractual chain, typically involving a primary contractor (upstream) and subcontractors or suppliers (downstream). In practice, this clause ensures that terms agreed upon with a client or higher-tier party are appropriately passed down to lower-tier parties, such as requiring a subcontractor to comply with the same standards or deliverables as the main contractor.
