Common use of Usage Monitoring Clause in Contracts

Usage Monitoring. Customer is solely responsible for its own adherence to volume and use limitations indicated on the applicable Addendum. ESO may monitor Customer’s use of the Software, and if Customer’s usage exceeds the level indicated in the applicable Addendum (an “Overage”), Customer shall owe ESO the Fee corresponding to such usage level at a rate no higher than ESO’s then-standard pricing for new customers at an equivalent usage level. ESO may invoice for Overages immediately.

ESO may monitor Customer’s use of the Software, and if Customer’s usage exceeds the level indicated for which Customer has paid in the applicable Addendum Software Schedule (an “Overage”), ESO shall notify Customer and Third-Party Payer of the Overage, and Third-Party Payer shall owe ESO the Fee corresponding to such usage level at a rate no higher than based on the Software Schedule (or if none, ESO’s then-standard pricing for new customers at an equivalent usage levelcurrent rates). ESO may invoice for Overages immediately.
