Usage Rules and Content Protection Requirements. Licensee’s exercise of the Digital Rights shall be subject at all times to: (a) the “Digital Usage Rules” set forth in Exhibit 1 attached hereto and incorporated by reference herein and (b) the Content Protection Requirements and Obligations set forth in Attachment A of the License Agreement, which shall be replaced in its entirety with the Attachment A attached hereto and incorporated by reference herein. In the event there is any inconsistency between the terms and conditions relating to Digital Rights in the Prior Letter Agreement and the terms and conditions in this Letter Agreement, the terms and conditions of this Letter Agreement shall govern. The parties agree to work together in good faith to execute a restatement of the License Agreement that incorporates, without limitation, the terms and conditions in this Letter Agreement. Until such time as a restated agreement is executed by the parties, this Letter Agreement shall remain in effect and shall be binding on both parties. Except as specifically amended by this Letter Agreement, the Prior Letter Agreement and License Agreement shall continue to be, and shall remain, in full force and effect in accordance with its terms.
