Use/Disclosure of PHI. In connection with its use and disclosure of PHI, Business Associate agrees that it shall use and/or disclose PHI only as permitted or required by this BAA or as otherwise required by law.

Use/Disclosure of PHI. Business Associate agrees that PHI shall be used and disclosed solely for purposes of providing services pursuant to the Underlying Agreement or as required by law. In the event of a disclosure required by law, Business Associate will provide Covered Entity written notice within five (5) business days of such disclosure. Business Associate shall not use or disclose PHI in any manner that would constitute a violation of the privacy or security regulations (the “Privacy Rule” or “Security Rule”) promulgated under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) if Covered Entity made the same use and disclosure, except that Business Associate may use or disclose PHI for Business Associate’s (a) proper management and administration and (b) legal responsibilities. Business Associate may disclose PHI for the purposes described in clauses (a) and (b) above only in the following circumstances: such disclosure is required by law; or Business Associate obtains reasonable assurances from the person to whom the PHI is disclosed that it will be held confidentially and used or further disclosed only as required by law or for the purpose for which it was disclosed to the person, and the person agrees to notify Business Associate of any instances of which it is aware in which the confidentiality of the PHI has been breached.

  • Use and Disclosure of Protected Health Information The Business Associate must not use or further disclose protected health information other than as permitted or required by the Contract or as required by law. The Business Associate must not use or further disclose protected health information in a manner that would violate the requirements of HIPAA Regulations.

  • Disclosure of Records This Contract may be subject to the provisions of section 1-218 of the Connecticut General Statutes. In accordance with this statute, each contract in excess of two million five hundred thousand dollars between a public agency and a person for the performance of a governmental function shall (a) provide that the public agency is entitled to receive a copy of records and files related to the performance of the governmental function, and (b) indicate that such records and files are subject to FOIA and may be disclosed by the public agency pursuant to FOIA.
