Safeguards for Protection of PHI. Business Associate shall develop, implement, maintain and use appropriate administrative, technical and physical safeguards to prevent the use or disclosure of PHI, in any form or media, received from, or created or received by Business Associate on behalf of, the Covered Entity, other than as provided for by this Agreement. Business Associate shall document and keep such security measures current.

Safeguards for Protection of PHI. Business Associate agrees to use reasonable and appropriate safeguards to prevent the use or disclosure of PHI other than as provided in this BAA.
Safeguards for Protection of PHI. Contractor agrees to implement and utilize appropriate safeguards to prevent the use or disclosure of PHI other than as provided by this Agreement or in HIPAA. Contractor specifically agrees to comply with the HIPAA Privacy Rule, the HIPAA Security Rule and the Breach Notification Rule that are directly applicable to Contractor. Contractor agrees to use appropriate safeguards to comply with HIPAA with respect to Electronic PHI to prevent the use or disclosure of Electronic PHI, other than as provided for by HIPAA and this Agreement. Contractor represents and certifies that it has conducted a HIPAA Security Rule risk analysis and has taken appropriate measures to assess and manage security risks. Contractor agrees to take reasonable steps to ensure that the actions or omissions of its Workforce and any agents or subcontractors do not cause Contractor to breach the terms of this Agreement.
Safeguards for Protection of PHI. (a) Business Associate will use appropriate safeguards to prevent use and/or disclosure of PHI other than as provided for by this Agreement. (b) Business Associate will comply with applicable Security Rule provisions set forth at 45 C.F.R. Part 164, Subpart C, including provisions relating to Security Standards General Rules (45 C.F.R. §164.306), Administrative Safeguards (45 C.F.R. § 164.308), Physical Safeguards (45 C.F.R. § 164.310), Technical Safeguards (45 C.F.R. § 164.312), Organizational Requirements (45 C.F.R. §164.314) and Policies and Documentation (45 C.F.R. § 164.316), and implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of Electronic PHI that Business Associate creates, receives, maintains or transmits on behalf of the CSB. (c) To the extent Business Associate is to carry out an obligation of the CSB under the Privacy Rule provisions set forth at 45 C.F.R. Part 164, Subpart E as directed by the CSB pursuant to the terms of this Agreement, Business Associate will comply with the requirements of the Privacy Rule that apply to the CSB in the performance of such obligation. (d) To the extent Business Associate includes information received from the CSB in research reports, such information may only be published in aggregate form in which PHI has been rendered non- identifiable such that the information cannot be re-identified. (e) To the extent Business Associate receives, stores, processes, or otherwise deals with substance use disorder patient records, it is fully bound by 42 CFR Part 2, including the requirement to resist any efforts to obtain access to PHI related to substance use disorder diagnosis, treatment, or referral for treatment except as permitted by 42 CFR Part 2. PHI protected by 42 CFR Part 2 may be disclosed only back to the CSB and may only be used as authorized by this Agreement or 42 CFR Part 2. (f) Business Associate will retain records in compliance with applicable record retention laws and will comply with applicable record security provisions of 42 C.F.R. § 2.16 for the maintenance and destruction of PHI contained in substance use disorder patient records.

(d) To the extent Business Associate includes information received from Fairfax County in research reports, such information may only be published in aggregate form in which PHI has been rendered non- identifiable such that the information cannot be re-identified.
Safeguards for Protection of PHI. Business Associate acknowledges that MetroHealth is relying on the security safeguards of Business Associate in selecting Business Associate as a business partner. Therefore, in accordance with applicable state and federal law, including, but not limited to HIPAA and the Regulations, Business Associate shall: Implement and maintain appropriate administrative, physical, and technical safeguards to prevent unauthorized use or disclosure of PHI; and Implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of Electronic PHI that it creates, receives, maintains, or transmits on behalf of MetroHealth as required by the Regulations.

Therefore, in accordance with applicable state and federal law, including, but not limited to HIPAA and the Regulations, Seller shall: 2.3.1 Implement and maintain appropriate administrative, physical, and technical safeguards to prevent unauthorized use or disclosure of PHI; and 2.3.2 Implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of Electronic PHI that it creates, receives, maintains, or transmits on behalf of MetroHealth as required by the Regulations.

Business Associate acknowledges that MHS is relying on the security safeguards of Business Associate in selecting Business Associate as a business partner. Business Associate shall promptly notify MHS of any material change to any aspect of its security safeguards.
