Use of Employees or Subcontractors. Contractor may, at Contractor's own expense, use any employees or subcontractors as Contractor deems necessary to perform the services required of Contractor by this Agreement. Client may not control, direct or supervise Contractor's employees or subcontractors in the performance of those services.

Any such assignment will be considered null and void. Client requires such consent to protect intellectual property rights and Client confidentialities. Client will require any third parties working on behalf of Contractor to sign intellectual property and confidentiality agreements. Client is authorized to assign any of its rights with or without the consent of Contractor.
