Consultant's Qualifications. Consultant represents and warrants that Consultant has the qualifications and skills necessary to perform the services under this Agreement in a competent and professional manner, and is able to fulfill the requirements of this Agreement. Consultant shall comply with all applicable federal, state and local laws in the performance of its obligations hereunder, and all materials used by Consultant in fulfilling its obligations under this Agreement shall not infringe upon any third party copyright, patent, trade secret or other proprietary right. Consultant acknowledges and agrees that failure to perform all the services required under this agreement constitutes a material breach of the Agreement.
Consultant's Qualifications. The services of consulting firms estimated to cost less than $100,000 equivalent per contract may be procured under contracts awarded in accordance with the provisions of paragraphs 3.1 and 3.7 of the Consultant Guidelines.

The staffing plan is Consultant’s best estimate of what will be required to staff the Program. Provided, however, that should it become necessary for Consultant to devote additional resources not shown on the staffing plan in order to achieve compliance with this Agreement, Consultant shall do so at no additional charge to GCS.
Consultant's Qualifications. The consultant must have experience (preferably applied to government institutions) on organizations design or redesign, analysis and definition of organizational structures, planning and sizing of staffs, profiles definitions. Also, during the last ten years must have had at least three studies on matter of design, implementation or development of master national energy plans.

CONSULTANT represents that he has the qualifications and skills necessary to perform the services under this agreement in a competent, professional manner, without the advice or direction of CLIENT. This means CONSULTANT is able to fulfill the requirements of this agreement. Failure to perform all the services required under this agreement constitutes a material breach of the agreement. CONSULTANT has complete and sole discretion for the manner in which the work under this agreement will be performed. Limited Liability: CONSULTANT will not be liable to CLIENT, or to anyone who may claim any right due to a relationship with CLIENT, for any acts or omissions in the performance of services under the terms of this agreement or on the part of the employees or agents of CONTRACTOR unless those acts or omissions are due to willful misconduct. CLIENT will indemnify and hold CONSULTANT free and harmless from any obligations, costs, claims, judgements, attorneys' fees, and attachments arising from, growing out of, or in any way connected with the services rendered to CLIENT under the terms of this agreement. Termination for Default: If either party defaults in the performance of this agreement or materially breaches any of its provisions, the non-breaching party may terminate this agreement by giving written notification to the breaching party. Termination will take effect immediately on receipt of notice by the breaching party or five days after mailing of notice, whichever occurs first. For the purposes of this paragraph, material breach of this agreement includes, but is not limited to, the following:
Consultant's Qualifications. The Consultant firm should meet the following qualifications: ‒ The Consultant will be registered in the Republic of Serbia as a company specialized in computer training. ‒ The Consultant will undertake the obligation of providing the data on the competence for provision of the required services in the form of brochures, description of similar services (references) and qualifications (CVs) of its trainers. ‒ The Consultant will provide Curriculum Vitae of proposed trainer/trainers detailing the most relevant experience related to the assignment. ‒ The Consultant shall submit only one proposal, either individually or as a joint venture partner in another proposal. If a Consultant, including a joint venture partner, submits or participates in more than one proposal, all such proposals shall be disqualified. This does not, however, preclude a consulting firm to participate as a sub-consultant, or an individual to participate as a team member, in more than one proposal.
