Use of Grant. 4.1 The Grant shall be used by the Recipient for the delivery of the Project in accordance with the agreed budget set out in Schedule 3. For the avoidance of doubt, the amount of the Grant that the Recipient may spend on any item of expenditure listed in column 1 of Schedule 3 shall not exceed the corresponding sum of money listed in column 2 without the prior written agreement of the Funder. 4.2 Where the Recipient has obtained funding from a third party in relation to its delivery of the Project (including without limitation funding for associated administration and staffing costs), the amount of such funding shall be included in the budget in Schedule 3 together with a clear description of what that funding shall be used for. 4.3 The Recipient shall not use the Grant to: (a) make any payment to members of its Governing Body; (b) purchase buildings or land; or (c) pay for any expenditure commitments of the Recipient entered into before the Commencement Date, unless this has been approved in writing by the Funder. 4.4 The Recipient shall not spend any part of the Grant on the delivery of the Project after the Grant Period. 4.5 Should any part of the Grant remain unspent at the end of the Grant Period, the Recipient shall ensure that any unspent monies are returned to the Funder or, if agreed in writing by the Funder, shall be entitled to retain the unspent monies to use for charitable purposes as agreed between the parties. 4.6 Any liabilities arising at the end of the Project including any redundancy liabilities for staff employed by the Recipient to deliver the Project must be managed and paid for by the Recipient using the Grant or other resources of the Recipient. There will be no additional funding available from the Funder for this purpose.

The Funder will provide their decision in writing in accordance with Clause 23 (a) within 28 days. Where an extension of time is granted by the Funder the revised Grant Period will be agreed between the Parties. 4.5 Should any part of the Grant remain unspent at the end of the Grant Period, the Recipient shall ensure that any unspent monies are returned to the Funder or, if agreed in writing by the Funder, shall be entitled to retain the unspent monies to use for charitable purposes as agreed between the parties. 4.6 Any liabilities arising at the end of the Project including resolving snagging issues, ongoing maintenance and any redundancy liabilities for staff employed by the Recipient to deliver the Project must be managed and paid for by the Recipient using the Grant or other resources of the Recipient. There will be no additional funding available from the Funder for this purpose.

For the avoidance of doubt, the amount of the Grant that the Recipient may spend on any item of expenditure listed in column 1 of Schedule 3 4 shall not exceed the corresponding sum of money listed in column 2 without the prior written agreement of the Funder. 4.2 7.2 Where the Recipient has obtained funding from a third party in relation to its delivery of the Project (including without limitation funding for associated administration and staffing costs), the amount of such funding shall be included in the budget in Schedule 3 4 together with a clear description of what that funding shall be used for. 4.3 7.3 The Recipient shall not use the Grant to: (a) 7.3.1 make any payment to members of or its Governing Bodyemployees, directors, shareholders or members; (b) 7.3.2 purchase buildings or land; or (c) 7.3.3 pay for any expenditure commitments of the Recipient entered into before the Commencement Date, unless this has been approved in writing by the Funder., 4.4 7.4 The Recipient shall not spend any part of the Grant on the delivery of the Project after the Grant PeriodTerm. 4.5 Should any part of 7.5 The Recipient shall adopt such policies and procedures as are necessary in order to ensure all works, goods and/or services funded through the Grant remain unspent at represent value for money and that all third parties paid using the Grant are paid no more than market rates for their works, goods and/or services and are engaged on arm’s length market terms.‌ 7.6 Notwithstanding the generality of clause 7.5 the Recipient shall use procedures for the procurement of goods, works and services in connection with the Project which: 7.6.1 are compliant with the Public Contracts Regulations 2015; and 7.6.2 are sufficient to ensure that all goods, works and services funded by the Grant represent value for money. 7.7 At the end of the First Grant Period, Period and each Subsequent Grant Period (if applicable) the Recipient shall ensure that any Grant monies paid to the Recipient during the relevant Grant Period and which remains unspent monies are returned to the Funder or, if unless agreed in writing by the Funder, shall be entitled to retain the unspent monies to use for charitable purposes as agreed between the parties. 4.6 7.8 Any liabilities arising at the end of the Project including any redundancy liabilities for staff employed by the Recipient to deliver the Project must be managed and paid for by the Recipient using the Grant or other resources of the RecipientRecipient other than the Grant. There will be no additional funding available from the Funder for this purpose. 7.9 The Recipient shall produce an Exit Plan in accordance with the requirements of Schedule 3 which shall be provided to the Funder for comment 31 January in the First Grant Period. 7.10 The Recipient shall refresh the Exit Plan within three (3) months of the commencement of any Subsequent Grant Period. 7.11 On the expiry of the Term or if this agreement is terminated for any reason, the provisions of the Exit Plan shall come into effect. 7.12 The Recipient shall comply with all Law relevant to this agreement at all times during the term of this agreement.

There will be no additional funding available from the Funder for this purpose. 4.7 The Recipient may use the Grant as evidence of funds to seek to establish match funding for wider associated projects. 4.8 The Recipient agrees to cooperate and act in good faith in the receipt and use of this Grant. 4.9 The Recipient will not do or omit to do anything which would or could put the Funder in breach of the Allocation Conditions and will indemnify and hold the Funder harmless against all losses, costs, claims and demands resulting from a breach of this Clause.

Should any part of the Grant remain unspent at the end of the Grant Period, the Recipient shall ensure that any unspent monies are returned to the Funder or, if agreed in writing by the Funder, shall be entitled to retain the unspent monies to use for charitable purposes as agreed between the parties. 4.6 . Any liabilities arising at the end of the Project including any redundancy liabilities for staff employed by the Recipient to deliver the Project must be managed and paid for by the Recipient using the Grant or other resources of the Recipient. There will be no additional funding available from the Funder for this purpose.

Use of Grant. 4.1 1. The Grant shall be used by the Recipient for the delivery of the Project Agreed Distribution Plans in accordance with the agreed budget set out in Schedule 31. 2.
