Use of Photographs by the Artist. ‌ Where the Engager is empowered to do so, and at the request of the Artist, and with the consent of all Artists who appear or whose work appears in the photograph, the Engager shall provide approved, fully optimized, high resolution photographs in the Engager’s database in digital format in which an Artist appears to an Artist for their own individual use, including but not limited to self-promotion, social media, etc. The Artist shall confirm that the photograph may not be modified or manipulated in any way, and may only be used as follows: (i) non-commercial, non-curated, generic content, open access photo sharing websites; and/or (ii) the Artist’s zone of social media websites; and/or (iii) the Artist’s own website; (iv) appropriate credits are included with every use; (v) photos can only be used after the Engager’s initial use provided that: (a) the Artist uses his/her best efforts to ensure that the material cannot be downloaded; and (b) no revenue is generated from the material. The Engager shall not be responsible for any subsequent misuse of the material, either by the Artist or stemming from the use of the material by the Artist whether such misuse arises from the use of the materials for the purposes set forth by the Artist in his/her request to the Engager, or for any other uses. The Artist shall fully indemnify, hold harmless and defend (collectively “indemnify” and “indemnification”) the Engager and its directors, officers, employees, representatives and independent contractors from and against all claims, demands, actions, suits, damages, liabilities, losses, settlements, judgments, costs and expenses (including but not limited to reasonable legal fees and costs), whether or not involving a third party claim, which arise out of or relate to: (i) any breach of any representation or warranty of the Artist contained in this Clause, or (ii) any breach or violation of any covenant or other obligation or duty of the Artist under this Clause.

Use of Photographs by the Artist. At the request of the Artist, and with the consent of all Artists who appear in the photograph, the NAC may agree to provide a copy of the photograph to an Artist for his/her own individual souvenir or promotional use. The NAC may levy a nominal charge for a hardcopy of a production photograph, however if the production photographs are available in digital format, such copies shall be provided to the Artist at no charge.

The NAC may levy a nominal charge for a hardcopy of a production photograph, however if the production photographs are available in digital format, such copies shall be provided to the Artist at no charge. 20:00 ADVERTISING OF ARTIST’S NAME ‌ 20:01 If a contract is not signed, the NAC shall not advertise or announce the name of an Artist unless permission is given by the Artist, or unless the NAC can subsequently demonstrate that the NAC and the Artist, or the Artist’s representative, has exchanged a deal memo, fax or e-mail agreeing to the date, fee, financial conditions, and services required prior to the announcement. 20:02 For any infringement of this Article, the NAC shall pay the Artist four (4) weeks of the applicable minimum weekly fee in accordance with Clause 9:01. 21:01 Archival Recording‌ The Artist’s performance cannot be recorded under this Agreement, in any way, except that the NAC may record, for the exclusive use of its archives, or as provided for in Clause 21:02, an audio or audio-visual recording of the Artist’s work. If the NAC wishes to record the Artist’s performance for any other reason, a separate agreement shall be entered into between the NAC and Equity, governed where applicable by national agreements. 21:02 Current Affairs‌ A maximum of five (5) minutes of performance or rehearsal may be used for broadcast on the news, artistic affairs, or current affairs program without payment to the Artist.

The Distributor will not issue any press releases or make any public announcements regarding the existence of this Agreement without the express written consent of the Trust. Neither the Trust nor the Distributor will disclose any of the economic terms of this Agreement, except as may be required by law.

  • Publicity/Use of Names Neither Party shall use the name, trademark, trade name or logo of the other Party, its Affiliates or their respective employee(s) in any publicity, promotion, news release or disclosure relating to this Agreement or its subject matter, without the prior express written permission of the other Party, except for those disclosures expressly authorized under this Article 4. Following execution of this Agreement, either Party may issue a press release announcing the existence of this Agreement in form and substance agreed to in writing by both Parties, such agreement to not be unreasonably withheld or delayed. Each Party agrees not to issue any other press release or other public statement disclosing other information relating to this Agreement or the transactions contemplated hereby without the prior written consent of the other Party, which consent shall not be unreasonably withheld or delayed; provided that Arvinas agrees that it shall be deemed reasonable for Pfizer to withhold its consent for the disclosure of any information related to a Target or a specific Compound or the amount of any payment made or to be made under this Agreement; and provided further that any disclosure which is required by Law or the rules of a securities exchange, as reasonably advised by the disclosing Party’s counsel, may be made subject to the following. Each Party agrees to provide to the other Party a copy of any public announcement regarding this Agreement or the subject matter thereof as soon as reasonably practicable under the circumstances prior to its scheduled release. Except under extraordinary circumstances or to the extent any such advance notice or notice period is not consistent with applicable Law, each Party shall provide the other with an advance copy of any such announcement at least [**] prior to its scheduled release.   • Reproduction of Agreement Copies of this Agreement shall be printed at the expense of the Board within thirty days after the Agreement is signed and presented to all teachers now employed, hereafter employed, or offered a contract for employment by the Board. The Board shall furnish ten copies of this Agreement to the Association for its use. Each employee will have a copy delivered by e-mail. There will be at least two hard copies available in each attendance center. The agreement will be placed on the district website.

  • USE OF NASA NAME AND NASA EMBLEMS A. NASA Name and Initials Partner shall not use "National Aeronautics and Space Administration" or "NASA" in a way that creates the impression that a product or service has the authorization, support, sponsorship, or endorsement of NASA, which does not, in fact, exist. The Company hereby confirms that it has included or will include in the Prospectus filed pursuant to XXXXX or otherwise with the Commission and in the Registration Statement at the time it was declared effective an undertaking that, upon receipt of a request by an investor or his or her representative, the Company shall transmit or cause to be transmitted promptly, without charge, a paper copy of the Time of Sale Prospectus.
