Background; Use of Funds; Definitions This Note constitutes the consideration payable to the Lender for the Series Gallery Drop 049 Asset (the “Series Asset”) pursuant to the Purchase and Sale Agreement relating to the Series Asset that was entered into between the Company and the Lender on or about the date hereof. Provisions Solely to Define Relative Rights The provisions of this Article XII are and are intended solely for the purpose of defining the relative rights of the Holders of the Securities on the one hand and the holders of Senior Debt on the other hand. Use of PTO A nurse will be required to take his or her accrued PTO during the leave, except where required by law. a. Notwithstanding the foregoing, for absences greater than thirty (30) days, a nurse will be allowed to leave up to eighty (80) accrued hours remaining in his/her PTO bank. Such a nurse shall designate to the Medical Center, prior to the announcement of such absence, the date by which compensation for PTO is to be discontinued. b. The number of hours of PTO used per week during the leave may not be less than the number of hours that the nurse was regularly scheduled to work.
