Use of the Equipment. 9.1 The Equipment shall be used by Hospital only at the Site and shall not be removed therefrom. Hospital shall use the Equipment only in the regular and ordinary course of Hospital's business operations and only within the capacity of the Equipment as determined by Elekta's specifications. Hospital shall not use nor permit the Equipment to be used in any manner nor for any purpose which, in the opinion of Elekta or GKF, the Equipment is not designed or reasonably suitable. 9.2 This is an agreement of lease only. Nothing herein shall be construed as conveying to Hospital any right, title or interest in or to the Equipment, except for the express leasehold interest granted to Hospital for the Term. All Equipment shall remain personal property (even though said Equipment may hereafter become attached or affixed to real property) and the title thereto shall at all times remain exclusively in GKF. 9.3 During the Term, upon the request of GKF, Hospital shall promptly affix to the Equipment in a prominent place, or as otherwise directed by GKF, labels, plates, insignia, lettering or other markings supplied by GKF indicating GKF's ownership of the Equipment, and shall keep the same affixed for the entire Term. Hospital hereby authorizes GKF to cause this Lease or any statement or other instrument showing the interest of GKF in the Equipment to be filed or recorded, or refiled or re-recorded, with all governmental agencies considered appropriate by GKF, at Hospital's cost and expense. Hospital also shall promptly execute and deliver, or cause to be executed and delivered, to GKF any statement or instrument requested by GKF for the purpose of evidencing GKF's interest in the Equipment, including financing statements and waivers with respect to rights in the Equipment from any owners or mortgagees of any real estate where the Equipment may be located. 9.4 At Hospital's cost and expense, Hospital shall (a) protect and defend GKF's ownership of and title to the Equipment from and against all persons claiming against or through Hospital, (b) at all times keep the Equipment free from any and all liens, encumbrances, attachments, levies, executions, burdens, charges or legal processes imposed against Hospital, (c) give GKF immediate written notice of any matter described in clause (b), and (d) in the manner described in Section 22 below indemnify GKF harmless from and against any loss, cost or expense (including reasonable attorneys' fees) with respect to any of the foregoing.

Use of the Equipment. 9.1 The Equipment shall be used by Hospital Medical Center only at the Site and shall not be removed therefrom. Hospital Medical Center shall use the Equipment only in the regular and ordinary course of Hospital's Medical Center’s business operations and only within the capacity of the Equipment as determined by Elekta's ’s specifications, unless otherwise authorized in writing by JGKE and Elekta. Hospital Medical Center shall not use nor or permit the Equipment to be used in any manner nor or for any purpose which, in the opinion of Elekta or GKF, the Equipment is not designed or reasonably suitable, unless otherwise authorized in writing by JGKE and Elekta. 9.2 This Notwithstanding anything to the contrary contained in this Agreement, this is an agreement of lease purchasing the Service only. JGKE shall only offer to Medical Center the Service pursuant to the terms and conditions of this Agreement. Nothing herein shall be construed as conveying to Hospital Medical Center any right, title or interest in or to the Equipment, except for the express leasehold interest right to use the Equipment granted herein to Hospital for Medical Center during the Term. All Equipment shall remain personal property (even though said Equipment may hereafter become attached or affixed to real property) and the title thereto shall at all times remain exclusively in GKFJGKE. 9.3 During the Term, upon the request of GKFJGKE, Hospital Medical Center shall promptly affix to the Equipment in a prominent place, or as otherwise directed by GKF, labels, plates, insignia, lettering or other markings an identifying label supplied by GKF JGKE indicating GKF's JGKE’s ownership of the Equipment, and shall keep the same affixed for the entire Term. Hospital Medical Center hereby authorizes GKF JGKE to cause this Lease Agreement or any statement or other instrument showing the interest of GKF JGKE in the Equipment to be filed or recorded, or refiled or re-recorded, with all governmental agencies considered appropriate by GKF, at Hospital's cost and expenseJGKE. Hospital Medical Center also shall promptly execute and deliver, or cause to be executed and delivered, to GKF JGKE any statement or instrument reasonably requested by GKF JGKE for the purpose of evidencing GKF's JGKE’s interest in the Equipment, including UCC financing statements and other relevant statements and waivers with respect to rights in the Equipment from any owners or mortgagees of any real estate where the Equipment may be located. 9.4 At HospitalMedical Center's cost and expense, Hospital Medical Center shall use commercially reasonable efforts to (a) protect and defend GKF's JGKE’s ownership of and title to the Equipment from and against all persons claiming against or through HospitalMedical Center, (b) at all times keep the Equipment free from any and all liens, encumbrances, attachments, levies, executions, burdens, charges or legal processes imposed against HospitalMedical Center, and (c) give GKF immediate JGKE written notice of any matter described in this clause within five (b)5) business days of Medical Center’s knowledge thereof, and (d) in the manner described in Section 22 21 below indemnify GKF JGKE harmless from and against any loss, cost or expense (including reasonable attorneys' ’ fees) with respect to any of the foregoing.

Hospital also shall promptly execute and deliver, or cause to be executed and delivered, to GKF any statement or instrument requested by GKF for the purpose of evidencing GKF's ’s interest in the Equipment, including financing statements and waivers with respect to rights in the Equipment from any owners or mortgagees of any real estate where the Equipment may be located. 9.4 At Hospital's ’s cost and expense, Hospital shall (a) protect and defend GKF's ’s ownership of and title to the Equipment from and against all persons claiming against or through Hospital, (b) at all times keep the Equipment free from any and all liens, encumbrances, attachments, levies, executions, burdens, charges or legal processes imposed against Hospital, and (c) give GKF immediate written notice of any matter described in clause (b), and (d) in the manner described in Section 22 below indemnify GKF harmless from and against any loss, cost or expense (including reasonable attorneys' fees) with respect to any of the foregoing.

All Equipment shall remain personal property (even though said Equipment may hereafter become attached or affixed to real property) and the title thereto shall at all times remain exclusively in GKF. 9.3 During the Term, upon the request of GKF, Hospital shall promptly affix to the Equipment in a prominent place, or as otherwise directed by GKF, labels, plates, insignia, lettering or other markings supplied by GKF indicating GKF's ’s ownership of the Equipment, and shall keep the same affixed for the entire Term. Hospital hereby authorizes GKF to cause this Lease or any statement or other instrument showing the interest of GKF in the Equipment to be filed or recorded, or refiled or re-recorded, with all governmental agencies considered appropriate by GKF, at Hospital's GKF’s cost and expense. Hospital also shall promptly execute and deliver, or cause to be executed and delivered, to GKF any statement or instrument requested by GKF for the purpose of evidencing GKF's ’s interest in the Equipment, including financing statements and waivers with respect to rights in the Equipment from any owners or mortgagees of any real estate where the Equipment may be located. 9.4 At Hospital's ’s cost and expense, Hospital shall (a) protect and defend GKF's ’s ownership of and title to the Equipment from and against all persons claiming against or through Hospital, (b) at all times keep the Equipment free from any and all liens, encumbrances, attachments, levies, executions, burdens, charges or legal processes imposed against Hospital, and (c) give GKF immediate written notice of any matter described in clause (b), and (d) in the manner described in Section 22 below indemnify GKF harmless from and against any loss, cost or expense (including reasonable attorneys' fees) with respect to any of the foregoing.

Use of the Equipment. 9.1 The Equipment shall be used by Hospital Medical Center only at the Site and shall not be removed therefrom. Hospital Medical Center shall use the Equipment only in the regular and ordinary course of Hospital's Medical Center’s business operations and only within the capacity of the Equipment as determined by Elekta's ’s specifications. Hospital Medical Center shall not use nor permit the Equipment to be used in any manner nor for any purpose which, in the opinion of Elekta or GKF, which the Equipment is not designed or reasonably suitablesuitable as determined by Elekta or GKF. 9.2 This is an agreement of lease only. Nothing herein shall be construed as conveying to Hospital Medical Center any right, title or interest in or to the Equipment, except for the express leasehold interest granted to Hospital Medical Center for the Term. Hospital Medical Center also shall promptly execute and deliver, or cause to be executed and delivered, to GKF any statement or instrument requested by GKF for the purpose of evidencing GKF's ’s interest in the Equipment, including financing statements and waivers with respect to rights in the Equipment from any owners or mortgagees of any real estate where the Equipment may be located. 9.4 At Hospital's Medical Center’s cost and expense, Hospital Medical Center shall (a) protect and defend GKF's ’s ownership of and title to the Equipment from and against all persons claiming against or through HospitalMedical Center, (b) at all times keep the Equipment free from any and all liens, encumbrances, attachments, levies, executions, burdens, charges or legal processes imposed against HospitalMedical Center, and (c) give GKF immediate written notice of any matter described in clause (b), and (d) in the manner described in Section 22 below indemnify GKF harmless from and against any loss, cost or expense (including reasonable attorneys' fees) with respect to any of the foregoing.

Nothing herein shall be construed as conveying to Hospital any right, title or interest in or to the Equipment, except for the express leasehold interest granted to Hospital for the Term. All Equipment shall remain personal property (even though said Equipment may hereafter become attached or affixed to real property) and the title thereto shall at all times remain exclusively in GKFEWRS. 9.3 During the Term, upon the request of GKFEWRS, Hospital shall promptly affix to the Equipment in a prominent place, or as otherwise directed by GKFEWRS, labels, plates, insignia, lettering or other markings supplied by GKF EWRS indicating GKF's EWRS’s ownership of the Equipment, and shall keep the same affixed for the entire Term. Hospital hereby authorizes GKF EWRS to cause this Lease Revenue Sharing Agreement or any statement or other instrument showing the interest of GKF EWRS in the Equipment to be filed or recorded, or refiled or re-recorded, with all governmental agencies considered appropriate by GKFEWRS, at Hospital's EWRS’s cost and expense. Hospital also shall promptly execute and deliver, or cause to be executed and delivered, to GKF EWRS any statement or instrument requested by GKF EWRS for the purpose of evidencing GKF's EWRS’s interest in the Equipment, including financing statements and waivers with respect to rights in the Equipment from any owners or mortgagees of any real estate where the Equipment may be located. 9.4 At Hospital's ’s cost and expense, Hospital shall (a) protect and defend GKF's EWRS’s ownership of and title to the Equipment from and against all persons claiming against or through Hospital, (b) at all times keep the Equipment free from any and all liens, encumbrances, attachments, levies, executions, burdens, charges or legal processes imposed against Hospital, and (c) give GKF EWRS immediate written notice of any matter described in clause (b), and (d) in the manner described in Section 22 below indemnify GKF harmless from and against any loss, cost or expense (including reasonable attorneys' fees) with respect to any of the foregoing.

Use of the Equipment. 9.1 The Equipment shall be used by Hospital Medical Center only at the Site and shall not be removed therefrom, unless otherwise authorized in writing by (i) GKF, and (ii) Lender (but only to the extent that the Equipment is subject to financing at the time Medical Center requests the removal). Hospital Medical Center shall use the Equipment only in the regular and ordinary course of Hospital's Medical Center’s business operations and only within the capacity of the Equipment as determined by Elekta's ’s specifications, unless otherwise authorized in writing by GKF and Elekta. Hospital Medical Center shall not use nor or permit the Equipment to be used in any manner nor or for any purpose which, in the opinion of Elekta or GKF, the Equipment is not designed or reasonably suitable, unless otherwise authorized in writing by GKF and Elekta. 9.2 This Notwithstanding anything to the contrary contained in this Agreement, this is an agreement of lease purchasing the Service only. GKF shall only offer to Medical Center the Service pursuant to the terms and conditions of this Agreement. Nothing herein shall be construed as conveying to Hospital Medical Center any right, title or interest in or to the Equipment, except for the express leasehold interest right to use the Equipment granted herein to Hospital for Medical Center during the Term. All Unless otherwise provided under this Agreement, all Equipment shall remain personal property (even though said Equipment may hereafter become attached or affixed to real property) and the title thereto shall at all times remain exclusively in GKFGKF or Lender. 9.3 During the Term, upon the request of GKF, Hospital Medical Center shall promptly affix to the Equipment in a prominent place, or as otherwise directed by GKF, labels, plates, insignia, lettering or other markings an identifying label supplied by GKF indicating GKF's ’s ownership of the Equipment, and shall keep the same affixed for the entire Term. Hospital Medical Center hereby authorizes GKF or its Lender (as defined in Section 14), as the case may be and at GFK's or its Lender's own cost and expense, to cause this Lease Agreement or any statement or other instrument showing the interest of GKF or its Lender in the Equipment to be filed or recorded, or refiled or re-recorded, with all governmental agencies considered appropriate by GKF or its Lender. Without limiting the generality foregoing, Medical Center hereby authorizes GKF or its Lender to execute and file any statement or instrument, including a UCC-1 financing statement(s), for the purpose of evidencing GKF’s and/or such Lender’s, at Hospital's cost as the case may be, interest in the Equipment. Medical Center shall after review and expense. Hospital also shall promptly within a commercially reasonable time, execute and deliver, or cause to be executed and delivered, to GKF any statement or instrument requested by GKF for the purpose of evidencing GKF's interest in the Equipmentother relevant statements, including financing statements agreements, waivers and waivers other documents with respect to GKF’s and its Lender’s rights in the Equipment from any owners for the Term of the Agreement, subject to the prior review and approval of Medical Center. Upon expiration of this Agreement, GFK or mortgagees its Lender shall, within a commercially reasonable amount of any real estate where time, take all reasonably necessary steps to extinguish its security interest in the Equipment may be locatedat GFK's or Lender's sole expense. 9.4 At HospitalFor the Term of the Agreement and at Medical Center's cost and expense, Hospital Medical Center shall use commercially reasonable efforts to (a) protect and defend GKF's ’s ownership of and title to the Equipment from and against all persons claiming against or through HospitalMedical Center, (b) at all times keep the Equipment free from any and all liens, encumbrances, attachments, levies, executions, burdens, charges or legal processes imposed against HospitalMedical Center, and (c) give GKF immediate written notice of any matter described in this clause within five (b)5) business days of Medical Center’s knowledge thereof, and (d) in the manner described in Section 22 21 below indemnify GKF harmless from and against any loss, cost or expense (including reasonable attorneys' ’ fees) with respect to any of the foregoing.

Use of the Equipment. 9.1 The Equipment shall be used by Hospital only at the Site and shall not be removed therefrom. Hospital shall use the Equipment only in connection with the regular and ordinary course operation of Hospital's business operations the Program and only within the capacity of the Equipment as determined by Elekta's specifications. Hospital shall not use nor permit the Equipment to be used in any manner nor for any purpose purpose, which, in the opinion of Elekta or GKF, the Equipment is not designed or reasonably suitable; provided that the foregoing shall not be deemed to affect or limit medical decisions in connection with the treatment of patients, which decisions shall be in the sole discretion and judgment of the patient's treating physician. 9.2 This Agreement is an agreement of lease only. Nothing herein shall be construed as conveying to Hospital any right, title or interest in or to the Equipment, except for the express leasehold interest granted to Hospital for the Term. All Equipment shall remain personal property (even though said Equipment may hereafter become attached or affixed to real property) and the title thereto shall at all times remain exclusively in GKF. 9.3 During the Term, upon the request of GKF, Hospital Medical Center shall promptly affix to the Equipment in a prominent place, or as otherwise directed by GKF, labels, plates, insignia, lettering or other markings an identifying label supplied by GKF indicating GKF's ’s ownership of the Equipment, and shall keep the same affixed for the entire Term. Hospital Medical Center hereby authorizes GKF to cause this Lease Agreement or any statement or other instrument showing the interest of GKF in the Equipment to be filed or recorded, or refiled or re-recorded, with all governmental agencies considered appropriate by GKF, at Hospital's cost and expense. Hospital Medical Center also shall promptly execute and deliver, or cause to be executed and delivered, to GKF any statement or instrument reasonably requested by GKF for the purpose of evidencing GKF's ’s interest in the Equipment, including UCC financing statements and other relevant statements and waivers with respect to rights in the Equipment from any owners or mortgagees of any real estate where the Equipment may be located. 9.4 At Hospital's Medical Center’s cost and expense, Hospital Medical Center shall (a) protect and defend GKF's ’s ownership of and title to the Equipment from and against all persons claiming against or through HospitalMedical Center, (b) at all times keep the Equipment free from any and all liens, encumbrances, attachments, levies, executions, burdens, charges or legal processes imposed against HospitalMedical Center, (c) give GKF immediate written notice of any matter described in clause (b), and (d) in the manner described in Section 22 below indemnify GKF harmless from and against any loss, cost or expense (including reasonable attorneys' ’ fees) with respect to any of the foregoing.

Hospital also shall promptly execute and deliver, or cause to be executed and delivered, to GKF any statement or instrument reasonably requested by GKF for the purpose of evidencing GKF's interest in the Equipment, including financing statements and waivers with respect to rights in the Equipment from any owners or mortgagees of any real estate where the Equipment may be located. 9.4 At Hospital's cost and expense, Hospital shall (a) protect and defend GKF's ownership of and title to the Equipment from and against all persons claiming against or through Hospital, (b) at all times keep the Equipment free from any and all liens, encumbrances, attachments, levies, executions, burdens, charges or legal processes imposed against Hospital, (c) give GKF immediate written notice of any matter described in clause (b), and (d) in the manner described in Section 22 23 below indemnify GKF harmless from and against any loss, cost or expense (including reasonable attorneys' fees) with respect to any of the foregoing.

Without limiting the generality foregoing, at Hospital's cost Medical Center hereby authorizes GKF or its Lender to execute and expensefile any statement or instrument, including a UCC-1 financing statement(s), for the purpose of evidencing GKF’s and/or such Lender’s, as the case may be, interest in the Equipment. Hospital Medical Center also shall promptly execute and deliver, or cause to be executed and delivereddelivered other relevant statements, to GKF any statement or instrument requested by GKF for the purpose of evidencing GKF's interest in the Equipmentagreements, including financing statements waivers and waivers other documents with respect to GKF’s and its Lender’s rights in the Equipment from any owners or mortgagees for the Term of any real estate where the Equipment may be locatedAgreement. 9.4 At HospitalMedical Center's cost and expense, Hospital Medical Center shall (a) protect and defend GKF's ’s ownership of and title to the Equipment from and against all persons claiming against or through HospitalMedical Center, (b) at all times keep the Equipment free from any and all liens, encumbrances, attachments, levies, executions, burdens, charges or legal processes imposed against HospitalMedical Center, (c) give GKF immediate written notice of any matter described in clause (b), and (d) in the manner described in Section 22 21 below indemnify GKF harmless from and against any loss, cost or expense (including reasonable attorneys' ’ fees) with respect to any of the foregoing.
