Common use of User Generated Content Clause in Contracts

User Generated Content. On, or in connection with, the Platform, Bayer may ask for or allow you to communicate, submit, upload or otherwise make available text, video, chat, images, or other content (“User Generated Content), which may be accessible and viewable by others on the Platform and by others in the public. You agree that you will not submit any User Generated Content that is defamatory, harassing, threatening, bigoted, hateful, violent, vulgar, obscene, pornographic, or otherwise offensive or that xxxxx or can reasonably be expected to harm any person or entity, whether or not such material is protected by law. With regards to any User Generated Content, you agree to xxxxx Xxxxx a non-exclusive, sublicensable, irrevocable and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights for the full duration of those rights to use, reproduce, transmit, print, publish, publicly display, exhibit, distribute, redistribute, copy, index, comment on, modify, transform, adapt, translate, create derivative works based upon, publicly perform, publicly communicate, make available, and otherwise exploit such User Generated Content, in whole or in part, in all media formats and channels now known or later developed, in any number of copies and without limit as to time, manner and frequency of use, without further notice to you, without attribution (to the extent this is not contrary to mandatory provisions of applicable law), and without the requirement of permission from or payment to you or any other person or entity. You agree that submission of User Generated Content does not establish any relationship of trust and confidence between you and Bayer, and that you have no expectation of compensation whatsoever (except as may be specifically stated in a separate agreement). You represent and warrant that your User Generated Content conforms to these Conditions and that you own or have the necessary rights and permissions including, without limitation, all copyrights, music rights and likeness rights (with respect to any person) contained in the User Generated Content, without the need for payment to any other person or entity, to use and exploit, and to authorize Bayer to use and exploit, your User Generated Content in all manners contemplated by these Conditions; and you agree to indemnify and hold Bayer harmless from any claims or expenses (including attorneys’ fees) by any third party arising out of or in connection with Bayer’s use and exploitation of your User Generated Content resulting from your breach of these Conditions. You also agree to waive and not to enforce any moral rights, ancillary rights or similar rights in or to the User Generated Content against Bayer or Bayer’s licensees, distributors, agents, representatives and other authorized users, and agree to procure the same agreement to waive and not to enforce from others who may possess such rights. Bayer retains the right to monitor, screen, post, remove, modify, store and review User Generated Content or communications sent through the Platform, at any time and for any reason, including to ensure that the User Generated Content conforms to these Conditions, without prior notice to you. Bayer may terminate your account and access to the Platform if your User Generated Content violates these Conditions, including unlawful postings or content, without prior notice to you. Bayer is not responsible for, and does not endorse or guarantee, the opinions, views, advice or recommendations posted or sent by users.

User Generated Content. OnOur EDMConnect™ technology offers Members a highly interactive experience which may include Website message boards, chat rooms, personal web pages or in connection withprofiles, the Platformforums, Bayer may ask for or bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow you users to communicatepost, submit, upload or otherwise make available textpublish, video, chat, imagesdisplay, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Generated Content), which may UGC”) on or through the Website. All UGC must comply with the Content Standards set out in these Terms of Use. Any UGC you post to the site will be accessible considered non-confidential and viewable by others non-proprietary. By providing any UGC on the Platform Website, you grant us and by others in our licensees, service providers and other affiliates, and each of our and their respective successors, and assigns, the publicright to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any lawful purpose. You also agree to waive and not to enforce any moral rights, ancillary rights or similar rights in or to the User Generated Content against Bayer or Bayer’s licensees, distributors, agents, representatives and other authorized users, and agree to procure the same agreement to waive and not to enforce from others who may possess such rights. Bayer retains the right to monitor, screen, post, remove, modify, store and review User Generated Content or communications sent through the Platform, at any time and for any reason, including to ensure that the User Generated Content conforms to these Conditions, without prior notice to you. Bayer may terminate your account and access to the Platform if your User Generated Content violates these Conditions, including unlawful postings or content, without prior notice to you. Bayer this is not responsible forthe case. Copyright Infringement If you believe that any UGC violate your copyright, and does not endorse or guarantee, please see our Copyright Policy for instructions on sending us a notice of copyright infringement. It is the opinions, views, advice or recommendations posted or sent by userspolicy of the Company to terminate the user accounts of repeat infringers.

User Generated Content. With regards to any User User-Generated Content, and unless we indicate otherwise, you agree to xxxxx Xxxxx grant us a worldwide, perpetual, irrevocable, non-exclusive, sublicensable, irrevocable and royalty-free worldwide free, sub-licensable, and transferrable license under all copyrightsto publish, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights for the full duration of those rights to use, reproduce, transmit, print, publish, publicly display, exhibit, distribute, redistribute, copy, index, comment onpublicly perform, modify, transform, adapt, translate, create derivative works based uponfrom, publicly performreverse engineer, publicly communicatebroadcast, distribute, exploit, or otherwise make available, and otherwise exploit such User available all User-Generated Content, in whole or in partany portion thereof, in all any media formats and channels or technology now known or later developed, as well as to use any name, likeness, and other identifying indicia ("Name and Likeness") as shown and conveyed in the User-Generated Content, through any medium or format, in any number way permitted under applicable law and in accordance with the applicable privacy policy, including for the purposes of copies operating and without limit improving the Products (such as to time, manner and frequency of use, without further notice to you, without attribution (to the extent this is not contrary to mandatory provisions of applicable lawthrough algorithmic training), and without the requirement developing new technologies and services. You will not be entitled to compensation for any use by us, or our agents, licensees or assignees, of permission from such User-Generated Content. You acknowledge and agree that you have no right to review or payment to you approve how such User-Generated Content or any other Name and Likeness will be used. We will have no obligation to publish or use or retain any User- Generated Content you submit or to return any such content to you. You are solely responsible for the content that you submit, upload, communicate, share or otherwise make available on or through the Products, or transmit to others, and you represent and warrant that such content will not infringe upon or violate the rights of any person or entity. You agree that submission of User Generated Content does not establish any relationship of trust and confidence between you and Bayer, and that you have no expectation of compensation whatsoever all the rights, permissions, licenses, authorizations, and releases (except as may be specifically stated in a separate agreement). You represent and warrant that your User Generated Content conforms to these Conditions and that you own or have the necessary rights and permissions including, without limitationbut not limited to, all copyrights, music rights to synchronize any sound recordings and likeness rights (with respect to any person) contained musical works embodied in the User User-Generated Content, without ) necessary to grant the need for payment to any other person or entity, to use and exploit, licenses in these Terms and to authorize Bayer to use and exploit, your User make the User-Generated Content in all manners contemplated by these Conditions; and you agree to indemnify and hold Bayer harmless from any claims or expenses (including attorneys’ fees) by any third party arising out of or in connection with Bayer’s use and exploitation of your User Generated Content resulting from your breach of these Conditionscontent available. You also agree to waive and not to enforce any moral rights, ancillary rights or similar rights in or to the User Generated Content against Bayer or Bayer’s licensees, distributors, agents, representatives and other authorized users, and agree to procure the same agreement to waive and not to enforce from others who may possess such rights. Bayer is not responsible forWe welcome feedback, comments, and does not endorse suggestions for improvements to the Products (“Feedback”). By submitting Feedback to us, you grant us a worldwide, perpetual, irrevocable, non-exclusive, sub-licensable, and transferable license, under any and all intellectual property rights that you own or guaranteedispose, to use, reproduce, publicly display, publicly perform, modify, adapt, translate, create derivative works from, reverse engineer, broadcast, distribute, sell, exploit, or otherwise make available the opinionsFeedback, viewsor any portion thereof, advice in any media or recommendations posted technology now known or sent by userslater developed, without any remuneration, compensation or credit to you.

You may not revoke Content for any reason at any time. You waive, release and agree not to assert any and all moral rights that you may have in any Content submitted by you to communicatethe Site. You agree that you will not submit any User Generated Content that is defamatoryuse a false or misleading email address, harassing, threatening, bigoted, hateful, violent, vulgar, obscene, pornographic, or otherwise offensive or that xxxxx or can reasonably be expected to harm any impersonate another person or entity, whether or otherwise mislead with respect to the origin of any Content you submit, including, without limitation, comments and feedback you submit to the Site. Such authorization is and shall be perpetual and cannot be revoked by you for any reason. Seller does not guarantee that Content you or others submit will be posted to the Site or become publicly perform, publicly communicate, make available, and otherwise exploit such User Generated Content, in whole or in part, in all media formats and channels now known or later developed, in any number of copies and without limit as to time, manner and frequency of use, without further notice to you, without attribution (Seller does not guarantee that Content posted to the extent this Site will not be offensive, defamatory or otherwise objectionable. You represent and warrant that your User Generated Content conforms to these Conditions and that you own or have the necessary rights and permissions including, without limitation, all copyrights, music rights and likeness rights (guarantee with respect to any person) contained in the User Generated Contentcompleteness, without the need for payment to any other person accuracy, integrity or entity, to use and exploit, and to authorize Bayer to use and exploit, your User Generated quality of Content in all manners contemplated by these Conditions; and you agree to indemnify and hold Bayer harmless from any claims or expenses (including attorneys’ fees) by any third party arising out of or in connection with Bayer’s use and exploitation of your User Generated Content resulting from your breach of these Conditions. You also agree to waive and not to enforce any moral rights, ancillary rights or similar rights in or submitted to the User Generated Content against Bayer or Bayer’s licensees, distributors, agents, representatives and other authorized users, and agree to procure the same agreement to waive and not to enforce from others who may possess such rights. Bayer retains the right to monitor, screen, post, remove, modify, store and review User Generated Content or communications sent through the Platform, at any time and for any reason, including to ensure that the User Generated Content conforms to these Conditions, without prior notice to you. Bayer may terminate your account and access to the Platform if your User Generated Content violates these Conditions, including unlawful postings or content, without prior notice to you. Bayer is not responsible for, and does not endorse or guarantee, the opinions, views, advice or recommendations posted or sent by usersSite.

On, OTOY does not claim any ownership or in connection with, the Platform, Bayer may ask for or allow you liability with respect to communicate, submit, upload or otherwise make available text, video, chat, images, or other content (“any User Generated Content). Customer hereby acknowledges that (i) OTOY has no obligation to and does not pre-screen the User Generated Content and, which as such, does not guarantee the accuracy, integrity, legitimacy, legality or quality of such User Generated Content; (ii) Customer will evaluate and bear all risks and liability associated with any use of any User Generated Content, including any reliance on the accuracy, completeness, legality or usefulness of such User Generated Content, (iii) Customer and its End Users may be accessible and viewable by others on the Platform and by others in the public. You agree that you will not submit any exposed to User Generated Content that is defamatoryindecent, harassing, threatening, bigoted, hateful, violent, vulgar, obscene, pornographic, offensive or otherwise offensive or that xxxxx or can reasonably objectionable; and (iv) under no circumstances will OTOY be expected to harm liable in any person or entity, whether or not such material is protected by law. With regards to way for any User Generated Content, you agree to xxxxx Xxxxx a non-exclusiveincluding but not limited to, sublicensable, irrevocable and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights for the full duration of those rights to use, reproduce, transmit, print, publish, publicly display, exhibit, distribute, redistribute, copy, index, comment on, modify, transform, adapt, translate, create derivative works based upon, publicly perform, publicly communicate, make available, and otherwise exploit such User Generated Content, in whole any errors or in part, in all media formats and channels now known or later developed, in any number of copies and without limit as to time, manner and frequency of use, without further notice to you, without attribution (to the extent this is not contrary to mandatory provisions of applicable law), and without the requirement of permission from or payment to you or any other person or entity. You agree that submission of User Generated Content does not establish any relationship of trust and confidence between you and Bayer, and that you have no expectation of compensation whatsoever (except as may be specifically stated in a separate agreement). You represent and warrant that your User Generated Content conforms to these Conditions and that you own or have the necessary rights and permissions including, without limitation, all copyrights, music rights and likeness rights (with respect to any person) contained omissions in the User Generated Content, without or for any losses, expenses, costs or damages of any kind incurred as a result of the need for payment to use of any other person User Generated Content. If Customer or entityits End Users upload, to use post, submit, publish, transmit, or otherwise make available User Generated Content, Customer represents and exploit, warrants that a) Customer’s and to authorize Bayer to use and exploit, your its End Users’ User Generated Content in is not confidential or otherwise protected from disclosure or dissemination; b) Customer and its End Users have all manners contemplated by these Conditionsrequisite rights to upload, submit, post, publish, transmit and otherwise make available the User Generated Content; c) Customer and you agree its End Users grant OTOY a perpetual, irrevocable, non-exclusive, assignable, transferable, royalty- free, paid-up, worldwide, sub-licensable license to indemnify and hold Bayer harmless from any claims or expenses (including attorneys’ fees) by any third party arising out of or in connection with Bayer’s store, display, reproduce, modify, create derivative works of, use and exploitation of your User Generated Content resulting from your breach of these Conditions. You also agree to waive and not to enforce any moral rights, ancillary rights or similar rights in or to transmit the User Generated Content against Bayer or Bayer’s licenseesfor the purposes of providing, distributorsformatting, agentsmaintaining, representatives and other authorized usersrepairing, and agree otherwise improving and administering the digital database, marketplace and related aspects; and d) Customer and its End Users grant OTOY a perpetual, irrevocable, non-exclusive, transferable, assignable, royalty-free, paid-up, worldwide, license to procure the same agreement to waive and not to enforce from others who may possess such rights. Bayer retains the right to monitorstore, screendisplay, post, removereproduce, modify, store use and review transmit the User Generated Content and create and use derivative works of the User Generated Content or communications sent through the Platform, at any time and part thereof for any reasonpurpose on any platform, including system, device or media, whether now known or hereafter created.. Customer and its End Users hereby waive any approval rights, rights of attribution, integrity, or other similarly afforded “moral” rights that Customer may have with respect to ensure that any use of the User Generated Content conforms as set forth herein. In no event will Customer have any right to these Conditions, without prior notice to you. Bayer may terminate your account and access to any injunction or other form of relief that could limit or restrict OTOY’s use of the Platform if your User Generated Content violates these ConditionsContent. Notwithstanding, including unlawful postings or content, without prior notice any right to you. Bayer such relief is not responsible for, irrevocably waived by Customer and does not endorse or guarantee, the opinions, views, advice or recommendations posted or sent by usersits End Users.

You further represent and warrant that you own will not use or have contribute User Content that is unlawful, tortious, defamatory, obscene, invasive of the necessary rights privacy of another person, threatening, harassing, abusive, hateful, racist or otherwise objectionable or inappropriate. Navigation Media may remove any User Content and permissions including, without limitation, all copyrights, music rights and likeness rights (with respect to any person) contained in related content or elements from the User Generated Content, without the need for payment to any other person or entity, to use and exploit, and to authorize Bayer to use and exploit, your User Generated Content in all manners contemplated by these Conditions; and you agree to indemnify and hold Bayer harmless from any claims or expenses (including attorneys’ fees) by any third party arising out of or in connection with Bayer’s use and exploitation of your User Generated Content resulting from your breach of these Conditions. You also agree to waive and not to enforce any moral rights, ancillary rights or similar rights in or to the User Generated Content against Bayer or Bayer’s licensees, distributors, agents, representatives and other authorized users, and agree to procure the same agreement to waive and not to enforce from others who may possess such rights. Bayer retains the right to monitor, screen, post, remove, modify, store and review User Generated Content or communications sent through the Platform, Services at any time and for any reason, including to ensure that the User Generated Content conforms to these Conditions, without prior notice to you. Bayer may terminate your account and access to the Platform if your User Generated Content violates these Conditions, including unlawful postings or content, without prior notice to you. Bayer is not responsible for, and does not endorse or guarantee, the opinions, views, advice or recommendations posted or sent by usersits sole discretion.

User Generated Content. OnFeatures of the iKeyless Application may allow the creation, development, modification, or in connection withcontribution of content (“UGC”), the Platformas well as upload, Bayer may ask for or allow you to communicatepublish, submit, upload or otherwise make available text, video, chat, images, UGC to some or other content (“User Generated Content), which all users of the iKeyless Application. These features may be accessible and viewable by others on the Platform and by others in the public. You agree that you will not submit any User Generated Content that is defamatory, harassing, threatening, bigoted, hateful, violent, vulgar, obscene, pornographic, also allow for interaction with or otherwise offensive manipulation or that xxxxx or can reasonably be expected to harm any person or entity, whether or not such material is protected by law. With regards to any User Generated Content, you agree to xxxxx Xxxxx a non-exclusive, sublicensable, irrevocable and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights for the full duration alteration of those rights to use, reproduce, transmit, print, publish, publicly display, exhibit, distribute, redistribute, copy, index, comment on, modify, transform, adapt, translate, create derivative works based upon, publicly perform, publicly communicate, make available, and otherwise exploit such User Generated Content, UGC in whole or in part. iKeyless may modify, limit, or discontinue certain features of the iKeyless Application without notification or liability to you. Without limitation, “UGC” includes images of keys, means of entry, and other devices or objects that you upload to the iKeyless Application. Subject to the rights and licenses you grant in this Agreement, you retain whatever rights you may have in your UGC. Such rights only extend to new, original content you create as part of your UGC and does not extend to nor grant any rights to the iKeyless Application, content created or made available by third-parties, or content made available by iKeyless through the iKeyless Application. If you make or have made available any UGC in the iKeyless Application, you grant iKeyless permission to host, copy, import, store, modify, adapt, display, publicly perform (including by means of digital audio transmissions), reproduce , create derivative works of, publicly display, transfer, sublicense, replicate, reduce in form and distribute (collectively “Use”) that UGC, in all media formats part or in whole, including for commercial publicity, and channels now known or later developedmarketing purposes, in any number country. This permission is perpetual and irrevocable and applies to any media, platform, or channel in connection with the iKeyless Application. The rights you grant to iKeyless in this Section 4 are provided on a through-to-the-audience basis, meaning the owners or operators of copies and without limit as to time, manner and frequency of use, without further notice to you, without attribution (to the extent this is third-party services will not contrary to mandatory provisions of applicable law), and without the requirement of permission from or payment have any separate liability to you or any other person third-party for UGC provided to or entityused on such third-party services via the iKeyless Application. You represent and warrant that your User Generated Content conforms to these Conditions and that you own fees, consideration, or have the necessary rights and permissions including, without limitation, all copyrights, music rights and likeness rights (with respect to any person) contained in the User Generated Content, without the need for payment to any other person or entity, to use and exploit, and to authorize Bayer to use and exploit, your User Generated Content in all manners contemplated by these Conditions; and you agree to indemnify and hold Bayer harmless from any claims or expenses (including attorneys’ fees) by any third party arising out of or remuneration in connection with Bayer’s use and exploitation of your User Generated Content resulting from your breach of these Conditions. You also agree to waive and not to enforce any moral rights, ancillary rights or similar rights in or to the User Generated Content against Bayer or Bayer’s licensees, distributors, agents, representatives and other authorized users, and agree to procure the same agreement to waive and not to enforce from others who may possess such rights. Bayer retains the right to monitor, screen, post, remove, modify, store and review User Generated Content or communications sent through the Platform, at any time and UGC for any reason, including iKeyless’s exercise of the rights you grant to ensure iKeyless in this Section 4 and that the User Generated Content conforms to these Conditions, without prior notice to you. Bayer may terminate your account and access to the Platform if your User Generated Content violates these Conditions, including unlawful postings or content, without prior notice to you. Bayer iKeyless is not responsible for, and obligated to exercise such rights. iKeyless does not endorse allow intellectual property infringement through the iKeyless Application. You agree not to create, generate, or guaranteemake available through the iKeyless Application any UGC to which you do not have the right to grant iKeyless such license to all elements of the UGC. If you choose to create, generate, or make available your UGC through the opinionsiKeyless Application, views, advice or recommendations posted or sent by users.you are solely responsible for your UGC and represent and warrant that:

User Generated Content. OnYou may transmit or publish content created by you using any of the Services or otherwise. However, you shall be solely responsible for such content and the consequences of its transmission or in connection withpublication. Any content made public will be publicly accessible through the internet and may be crawled and indexed by search engines. You are responsible for ensuring that you do not accidentally make any private content publicly available. Any content that you may receive from other users of the Services, the Platformis provided to you AS IS for your information and personal use only and you agree not to use, Bayer may ask for or allow you to communicatecopy, submitreproduce, upload distribute, transmit, broadcast, display, sell, license or otherwise make available textexploit such content for any purpose, videowithout the express written consent of the person who owns the rights to such content. In the course of using any of the Services, chat, images, if you come across any content with copyright notice(s) or other content (“User Generated Contentany copy protection feature(s), which may be accessible and viewable by others on the Platform and by others in the public. You agree that you will not submit any User Generated Content that is defamatory, harassing, threatening, bigoted, hateful, violent, vulgar, obscene, pornographic, or otherwise offensive or that xxxxx or can reasonably be expected to harm any person or entity, whether or not such material is protected by law. With regards to any User Generated Content, you agree not to xxxxx Xxxxx a non-exclusive, sublicensable, irrevocable and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights for remove such copyright notice(s) or disable such copy protection feature(s) as the full duration case may be. You agree that submission of User Generated Content does not establish any relationship of trust and confidence between you and Bayer, and affirm that you have no expectation of compensation whatsoever (except the consent, authorization or permission, as the case may be specifically stated from every person who may claim any rights in a separate agreement)such content to make such content available in such manner. You represent and warrant that your User Generated Content conforms to these Conditions and that you own or have the necessary rights and permissions includingFurther, without limitation, all copyrights, music rights and likeness rights (with respect to by making any person) contained content available in the User Generated Contentmanner aforementioned, without the need for payment to any other person or entity, to use and exploit, and to authorize Bayer to use and exploit, your User Generated Content in all manners contemplated by these Conditions; and you expressly agree to indemnify and hold Bayer harmless from any claims or expenses (including attorneys’ fees) by any third party arising out of or in connection with Bayer’s use and exploitation of your User Generated Content resulting from your breach of these Conditions. You also agree to waive and not to enforce any moral rights, ancillary rights or similar rights in or to the User Generated Content against Bayer or Bayer’s licensees, distributors, agents, representatives and other authorized users, and agree to procure the same agreement to waive and not to enforce from others who may possess such rights. Bayer retains that Xxxxxx will have the right to monitor, screen, post, remove, modify, store and review User Generated Content or communications sent through the Platform, at any time and for any reason, including to ensure that the User Generated Content conforms to these Conditions, without prior notice to you. Bayer may terminate your account and block access to or remove such content made available by you if Xxxxxx receives complaints concerning any illegality or infringement of third party rights in such content. By using any of the Platform if your User Generated Content violates these ConditionsServices and transmitting or publishing any content using such Service, including unlawful postings you expressly consent to determination of questions of illegality or contentinfringement of third party rights in such content by the agent designated by Xxxxxx for this purpose. If you wish to protest any blocking or removal of content by Xxxxxx, without prior notice to you. Bayer is not responsible for, and does not endorse or guarantee, the opinions, views, advice or recommendations posted or sent by usersyou may do so.

You represent and warrant that your You have (and will continue to have) all necessary licenses, rights, consents, and permissions which are required to use and to enable the Application, Platform and/or Services to use Your User Generated Content. You agree that You will not post or upload any User Generated Content conforms containing content which is unlawful for You to these Conditions and that you own possess, post or have the necessary rights and permissions including, without limitation, all copyrights, music rights and likeness rights (with respect to any person) contained upload in the User Generated Contentcountry in which You are resident, without or which it would be unlawful for Company to use or possess in connection with the need for payment to any Application, Platform, Trip Planner Algorithm and/or other person or entityServices. Bayer retains the right to monitor, screen, post, remove, modify, store and review User Generated Content or communications sent through the Platform, at any time and for any reason, including to ensure without limitation in case it suspect or believe that the User Generated Content conforms to these Conditionsis unlawful, without prior notice to youoffensive, threatening, libelous, defamatory, obscene, or otherwise violates any third-party's rights, including intellectual property rights, copyrights and/or privacy rights and/or this XXXX or other policies. Bayer may terminate your account and access to Unless the Platform if your User Generated Content violates these Conditionswas transmitted to a third party via the application, including unlawful postings platform, trip planner algorithm and/or services You can ask Company to remove any User Generated Content uploaded by You to the Application, Platform and/or Services by sending an email to Transmate support at xxxxxxx@xxxxxxxxx.xxx.Xxxxxxx explicitly reserves the right to remove the User Generated Content without a prior notice, at its sole discretion. When You upload, post, publish or contentmake available User Generated Content on the Application, without prior notice Platform, Trip Planner Algorithm and/or Services, or use such User Generated Content via the Application, Platform, Trip Planner Algorithm and/or other Services, You (i) grant the Company an irrevocable, perpetual, non-exclusive, royalty-free, transferable, assignable, sub-licensable and worldwide license, to you. Bayer is not responsible foruse, reproduce, distribute, transmit, prepare derivative works of, display, make available to the public by use of databases, such as user suggestions databases, and does not endorse perform that User Generated Content in connection with the Application, Platform, Trip Planner Algorithm and/or the Services, whether through the Internet, any Mobile Device or guaranteeotherwise, in any media formats and through any media channels known today and developed in the opinionsfuture; and (ii) irrevocably waive Your moral rights with respect to Your User Generated Content, views, advice or recommendations posted or sent by usersin connection with Our use of such User Generated Content as described hereunder.

Any User Generated Content provided remains the Your property. However, by providing User Generated Content via the Platform, You grant Dogma a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, to copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise use in any manner such User Generated Content in all formats and distribution channels now known or unknown without further notice to or consent from You and without the requirement of payment to You or any other person or entity. Dogma has zero tolerance for objectionable content and abusive users. The Submission of any User Generated Content that is defamatory, harassing, threatening, bigotedlibelous, hateful, violent, vulgar, obscene, pornographicunlawful, or otherwise offensive or that xxxxx or can reasonably be expected to harm any person or entity, whether or not such material abusive (as determined by Dogma in its sole discretion) violates these Terms of Use and is protected by law. With regards to any User Generated Content, you agree to xxxxx Xxxxx a non-exclusive, sublicensable, irrevocable and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights for the full duration of those rights to use, reproduce, transmit, print, publish, publicly display, exhibit, distribute, redistribute, copy, index, comment on, modify, transform, adapt, translate, create derivative works based upon, publicly perform, publicly communicate, make available, and otherwise exploit such User Generated Content, in whole or in part, in all media formats and channels now known or later developed, in any number of copies and without limit as to time, manner and frequency of use, without further notice to you, without attribution (to the extent this is not contrary to mandatory provisions of applicable law), and without the requirement of permission from or payment to you or any other person or entitystrictly prohibited. You agree that submission of User Generated Content does not establish any relationship of trust and confidence between you and Bayerto refrain from such Submissions, and that you have no expectation of compensation whatsoever (except as may be specifically stated in a separate agreement). You represent Dogma reserves the right to review, monitor and warrant that your User Generated Content conforms to these Conditions and that you own or have the necessary rights and permissions including, without limitation, all copyrights, music rights and likeness rights (with respect to any person) contained in the User Generated Content, without the need for payment to any other person or entity, to use and exploit, and to authorize Bayer to use and exploit, your remove User Generated Content in all manners contemplated by these Conditions; and you agree its sole discretion at any time without notice to indemnify and hold Bayer harmless from any claims You. Dogma additionally reserves the right to prescreen, monitor, or expenses (including attorneys’ fees) by any third party arising out of or in connection with Bayer’s use and exploitation of your edit User Generated Content resulting from your breach of for compliance with these Conditionsterms, despite no legal obligation to do so. You also agree Dogma further provides various mechanisms for Users to waive flag, report, and/or filter objectionable content and not users deemed to enforce any moral rightsbe abusive may be blocked and/or permanently banned. Put simply, ancillary rights or similar rights in or to the Dogma will remove such User Generated Content against Bayer that is conclusively determined to be in violation of these Terms of Use and/or eject Users who provide such offending content or Bayer’s licensees, distributors, agents, representatives and other authorized users, and agree are otherwise deemed to procure the same agreement to waive and not to enforce from others who may possess such rights. Bayer retains the right to monitor, screen, post, remove, modify, store and review User Generated Content or communications sent through the Platform, at any time and for any reason, including to ensure that the User Generated Content conforms to these Conditions, without prior notice to you. Bayer may terminate your account and access to the Platform if your User Generated Content violates these Conditions, including unlawful postings or content, without prior notice to you. Bayer is not responsible for, and does not endorse or guarantee, the opinions, views, advice or recommendations posted or sent by usersbe abusive.

User Generated Content. OnCustomer (and its Authorized Users) may store, transmit or in connection withpublish content created by using the Product(s). However, Customer (and its Authorized Users) shall be solely responsible for such content and the Platform, Bayer may ask for consequences of its transmission or allow you to communicate, submit, upload or otherwise make available text, video, chat, images, or other publication. Any content (“User Generated Content), which made public will be accessible through the internet and may be accessible crawled and viewable indexed by others on search engines. Customer (and its Authorized Users) is/are responsible for ensuring that any private content is not made publicly available. Any content that may be received from other users of the Platform and by others in the public. You agree that you will not submit any User Generated Content that Product(s) is defamatory, harassing, threatening, bigoted, hateful, violent, vulgar, obscene, pornographic, or otherwise offensive or that xxxxx or can reasonably be expected to harm any person or entity, whether or not such material is protected by law. With regards to any User Generated Content, you agree to xxxxx Xxxxx a non-exclusive, sublicensable, irrevocable and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights provided AS IS for the full duration information and personal use of those rights Customer (and its Authorized Users) only and Customer for itself and its Authorized Users agree(s) not to use, copy, reproduce, distribute, transmit, printbroadcast, publish, publicly display, exhibitsell, distribute, redistribute, copy, index, comment on, modify, transform, adapt, translate, create derivative works based upon, publicly perform, publicly communicate, make available, and license or otherwise exploit such User Generated Content, in whole or in part, in all media formats and channels now known or later developed, in content for any number of copies and without limit as to time, manner and frequency of use, without further notice to you, without attribution (to the extent this is not contrary to mandatory provisions of applicable law), and without the requirement of permission from or payment to you or any other person or entity. You agree that submission of User Generated Content does not establish any relationship of trust and confidence between you and Bayer, and that you have no expectation of compensation whatsoever (except as may be specifically stated in a separate agreement). You represent and warrant that your User Generated Content conforms to these Conditions and that you own or have the necessary rights and permissions including, without limitation, all copyrights, music rights and likeness rights (with respect to any person) contained in the User Generated Contentpurpose, without the need express written consent of the person who owns the rights to such content. In the course of using the Product(s), copyright notice(s) may not be removed and copy protection feature(s) may not be disabled. By making any copyrighted/copyrightable content available on the Product(s), Customer (for payment to itself and its Authorized Users) affirms that it or they will have the consent, authorization or permission, as the case may be, from every person who may claim any other person or entity, to use and exploit, and to authorize Bayer to use and exploit, your User Generated Content in all manners contemplated by these Conditions; and you agree to indemnify and hold Bayer harmless from any claims or expenses (including attorneys’ fees) by any third party arising out of or in connection with Bayer’s use and exploitation of your User Generated Content resulting from your breach of these Conditions. You also agree to waive and not to enforce any moral rights, ancillary rights or similar rights in or such content to the User Generated Content against Bayer or Bayer’s licensees, distributors, agents, representatives and other authorized users, and agree to procure the same agreement to waive and not to enforce from others who may possess make such rightscontent available in such manner. Bayer retains Customer expressly agrees that LabArchives will have the right to monitor, screen, post, remove, modify, store and review User Generated Content or communications sent through the Platform, at any time and for any reason, including to ensure that the User Generated Content conforms to these Conditions, without prior notice to you. Bayer may terminate your account and block access to or remove such content made available if LabArchives receives complaints concerning any illegality or infringement of third party rights in such content. By using the Platform if your User Generated Content violates these ConditionsProduct(s) and transmitting or publishing any content using the Product(s), including unlawful postings Customer expressly consents to the determination of questions of illegality or content, without prior notice to you. Bayer is not responsible for, and does not endorse or guarantee, infringement of third party rights in such content by the opinions, views, advice or recommendations posted or sent agent designated by usersLabArchives for this purpose.
