Utility Covenants. 9.3.1 Utility covenants to make the payments for Net Energy Output as required by this Agreement as they become due without setoff against the amounts pursuant to Schedule B for delivered electrical energy. 9.3.2 Where Utility must approve or Utility and Developer jointly must establish specifications for connections of the Project and related apparatus, Utility covenants to act reasonably in so doing, with the objective of coordinating Project and Utility’s Grid operations so as to maximize Project Net Energy Output.
