Vacancies; Removal; Resignation. Subject to other provisions of this Section, any vacancy occurring in the Managers may be filled by the Member. A Manager elected to fill a vacancy shall be elected for the unexpired term of such Manager’s predecessor in office. Any Manager position to be filled by reason of an increase in the number of Managers shall be filled by the Member. The Member may, at any time and with or without cause, terminate the term of office of all or any of the Managers. Such removal shall be effective immediately upon Member action even if successors are not elected simultaneously. Any Manager may resign at any time. Such resignation shall be made in writing and shall take effect at the time specified therein, or if no time be specified, at the time of its receipt by the Member. The acceptance of a resignation shall not be necessary to make it effective, unless expressly so provided in the resignation.

Xxxxxx shall have the option of becoming a co-Manager, and as co-Manager, all actions by the “Manager” shall require unanimous consent of the co-Managers. In the event that Dx. Xxxxxx dies or becomes incapacitated, the co-Manager role for Dx. Xxxxxx’x heirs or subsequent trustees of his trust to be or become co-Manager shall immediately terminate, and the sole Manager role shall again return to GolfSuites 1, Inc.

Vacancies; Removal; Resignation. (a) Any Manager position to be filled by reason of an increase in the number of Managers or by other reason may be filled by election at an annual or special meeting of the Members called for that purpose, or by the affirmative vote of a majority of the remaining Managers though less than a quorum of the Managers.
(b) The Members may, without liability, remove a Manager at any time with or without cause by affirmative vote of Members holding a majority of Member votes.
(c) A Manager may resign as a manager upon giving thirty (30) days' written notice to each Member. Except as otherwise provided in this Agreement, the Manager shall have no liability to the Company or to the other Members for any such resignation, provided, however, that the resignation shall not absolve the Manager from any liabilities arising on or before effective date of the resignation. The acceptance of a resignation shall not be necessary to make it effective, unless expressly so provided in the resignation.
