Neither the Company nor the Agent will be under any duty to give notification of any defect or irregularity in connection with the submission of any Subscription Documentation or incur any liability for failure to give such notification.

The Company shall have the absolute right to reject any defective exercise of Rights or to waive any defect in exercise. Unless requested to do so by the Company, the Subscription Agent shall not be under any duty to give notification to Rights Holders of any defects or irregularities in subscriptions, including incomplete or unpaid subscriptions. Subscriptions will not be deemed to have been made until any such defects or irregularities, including incomplete or unpaid subscriptions, have been cured or waived by an appropriate officer of the Company. The Subscription Agent shall, as soon as practicable, return Subscription Rights Certificates and the associated Subscription Payment with defects or irregularities, including incomplete or unpaid subscriptions, which have not been cured or waived, to the Rights Holder.
