Common use of Vendor Personnel Clause in Contracts

Vendor Personnel. Vendor shall ensure that its personnel engaged in the Processing of Personal Data are informed of the confidential nature of the Personal Data, have received appropriate training regarding their responsibilities, and have executed written confidentiality agreements. Vendor shall take commercially reasonable steps to ensure the reliability of any Vendor personnel engaged in the Processing of Personal Data. Vendor shall ensure that Vendor’s access to Personal Data is limited to those personnel assisting in the provision of the Service in accordance with the Agreement.

Vendor Personnel. Vendor shall take commercially reasonable steps execute written agreements with its personnel to ensure maintain the reliability of any Vendor personnel engaged in the Processing confidentiality of Personal Data, including post the termination of the personnel engagement. Vendor shall ensure that Vendor’s use commercially reasonable efforts to limit access to Personal Data is limited to those personnel assisting in who require such access to perform the provision Agreement. If required by Data Protection Laws, Vendor shall appoint a data protection officer. Upon request, Vendor will provide the contact details of the Service in accordance with the Agreementappointed person.
