The Volume Production clause defines the terms and conditions under which a manufacturer or supplier will produce goods at large or commercial quantities. VOLUME PRODUCTION. Any pricing deviations for volume production shall be set forth in Exhibit I as attached to the Letter.

6.1 The terms of delivery of the WAFERS from X-FAB [*] shall be DAP (destination specified in POWER INTEGRATIONS PO) Incoterms 2010. The terms of delivery of the WAFERS from X-FAB [*] shall be DAP (destination specified in POWER INTEGRATIONS PO) Incoterms 2010.
6.2 The risk of loss relating to the WAFERS delivered by SUPPLIER to PI shall transfer from SUPPLIER to PI at such time and point as provided in Incoterms 2010 relating to such DAP term. Title to the WAFERS delivered by SUPPLIER to PI shall transfer from SUPPLIER to PI upon arrival at the destination specified in POWER INTEGRATIONS PO. PI shall have the right to designate a freight forwarder, subject to SUPPLIER's reasonable approval. PI will pay freight.
VOLUME PRODUCTION. 5.2.1 For the VOLUME PRODUCTION, PI shall place an order with OKI for a minimum of **** (****) WAFER starts (**** (****) lot) or multiples thereof per each PRODUCT and OKI will ship monthly orders in quantities not less than **** percent (****%) of the quantities ordered of each PRODUCT.
5.2.2 The orders of PI for the VOLUME PRODUCTION shall be subject to the provisions of Section 3.2 above.

VOLUME PRODUCTION. Upon Qualification of a Product, Tripath may order such Product hereunder in volume production lots (and thereafter such Product will be deemed to be in "VOLUME PRODUCTION"). A Volume Production lot shall contain the number of dice indicated in Schedule 1 hereto. ST shall ship monthly order quantities consistent with the relevant purchase order, and shall provide process control monitor ("PCM") test results and process data results with each shipment.
VOLUME PRODUCTION. 5.3.1 For VOLUME PRODUCTION, PI shall place a PO with SUPPLIER for a minimum of [* * * *] WAFERS per each PRODUCT, or any other quantity agreed to in writing by the parties. The delivery date of the PO shall be in accordance with the VOLUME PRODUCTION cycle time for WAFERS as specified by the SUPPLIER but such cycle time shall not exceed [* * * *] days.
5.3.2 For VOLUME PRODUCTION, SUPPLIER will ship the WAFERS ordered by PI by the delivery date in the INDIVIDUAL SALES CONTRACT. SUPPLIER shall use reasonable efforts to deliver the WAFERS earlier than such delivery date.
5.3.3 SUPPLIER will ship orders in quantities not less than [* * * *] percent ([* * * *] %) of the quantities ordered of each PRODUCT.
