Voluntary Resignation without Assignment. Administrative Agent may resign its obligations under the Loan Documents upon thirty (30) days’ advance written notice to the Lenders. The successor Administrative Agent shall be appointed by the affirmative vote of the Required Lenders under Section 9.8(iii) of this Agreement. If no successor Administrative Agent is so appointed within thirty (30) days of the resigning Administrative Agent’s giving notice of its resignation, Administrative Agent may, on behalf of the Lenders, appoint a successor Administrative Agent, which shall be an Eligible Lender. Upon the effective date of such resignation, the resigning Administrative Agent shall be relieved of its responsibilities as Administrative Agent under the Loan Documents; provided that as to actions taken or omitted to be taken prior to the effective date of such resignation, the provisions of the Loan Documents shall continue (as applicable) with respect to the resigning Administrative Agent (including, without limitation, all indemnification rights accruing in favor of such resigning Administrative Agent for all such periods).

In such event, after the effective date of such termination, no payments shall be due under this Agreement, except that the Executive shall be entitled to any Accrued Obligations.
