Common use of vPayment Facilitator/Travel Services Provider Clause in Contracts

vPayment Facilitator/Travel Services Provider. a. If You elect to use a third party to act as Your agent to facilitate Your use of and reporting for the vPayment Account (“vPayment Facilitator”) in coordination with the Travel Services Provider (as defined in this clause 7), as applicable, You agree to provide Us with any authorisation- related documentation for such vPayment Facilitator and Travel Services Provider, as applicable, or a vPayment Authorisation Form (a copy of which may be provided to you upon request) and executed by Your authorised signatory. Upon receipt of the authorisation and approval by Us of such vPayment Facilitator and Travel Services Provider, as applicable, We agree to work with the vPayment Facilitator in coordination with the Travel Services Provider, as applicable, to implement the vPayment Account on Your behalf solely in accordance with the terms of this Agreement. You acknowledge and agree that the vPayment Facilitator and Travel Services Provider, as applicable, are Your agent(s) acting on Your behalf at your request and that You are liable for all transactions initiated or Charges made by the vPayment Facilitator and Travel Services Provider, as applicable, using the vPayment Account. You acknowledge and agree that, to the extent permitted by applicable law, We are not responsible for any negligence, fraud or willful misconduct of either or both the Travel Services Provider, as applicable, or the vPayment Facilitator and/or its/their employees, subcontractors or agents in connection with the accessing or using the vPayment Account. This authorisation may be revoked by You by written notice to Us. You shall be liable for any action taken by the vPayment Facilitator or Travel Services Provider, as applicable, prior to the effective date of such revocation. b. For the purposes of this clause 7 only, the “Travel Services Provider” means a third party services provider with whom You have entered into one or more agreements pursuant to which, among other things, the Travel Services Provider will provide services that require access to, the use of, the vPayment Account(s), including providing reporting for the vPayment Account. For the avoidance of doubt, for the purposes of this clause 7 only, the definition of Travel Services Provider specified in Schedule 1 is replaced with the above definition.

If You elect decide to use a third party to act as Your agent to facilitate Your use of and reporting for the vPayment Account (“vPayment Facilitator”) in coordination with the Travel Services Provider (as defined in this clause Clause 7), as applicableapplica- ble, You agree to provide Us with any authorisation- authorisation-related documentation documenta- tion for such that vPayment Facilitator and Travel Services Provider, as applicableappli- cable, or a vPayment Authorisation Form (a copy of which may be provided to you upon is available on request) and executed by Your authorised signatory. Upon receipt of the authorisation our au- thorisation and approval by Us of such said vPayment Facilitator and Travel Services Provider, as applicable, We agree to work with the vPayment Facilitator in coordination with the Travel Services Provider, as applicable, to implement imple- ment the vPayment Account on Your behalf behalf, solely in accordance with the terms of this Agreement. You acknowledge recognise and agree that the vPayment Facilitator and Travel Services Provider, as applicable, are Your agent(s) acting on Your behalf at your request and that You are liable for all transactions trans- actions initiated or Charges made by the vPayment Facilitator and Travel Services Provider, as applicable, using the vPayment Account. You acknowledge ac- knowledge and agree that, to the extent insofar as permitted by applicable law, We are not responsible liable for any negligence, fraud or willful wilful misconduct of either or both by the Travel Services Provider, as applicable, or the vPayment Facilitator and/or its/their employees, subcontractors or agents agents, in connection with the accessing access or using use of the vPayment Account. This You may revoke this authorisation may be revoked by You by written notice to Usnotifying Us in writing.
