Warranties by Vendor. The Vendor warrants and represents to the Purchaser that, subject to the limitations in this clause 11, each of the Vendor’s Warranties are true and accurate at the Agreement Date and will be so at Completion. The Vendor shall notify the Purchaser immediately if it becomes aware of a fact or circumstance which would cause a Warranty to be untrue or inaccurate if given at the Agreement Date or Completion.
Warranties by Vendor. The Xxxxxx xxxxxxxnts and warrants solely to the Purchaser that, in respect of itself, each of the following statements is true and correct in all material respects as at the Completion Date.
Warranties by Vendor. (a) The Vendor warrants and represents to the Purchaser, as an inducement to the Purchaser to enter into this agreement that, subject to the limitations in this clause 11 and except as expressly stated, each of the Warranties is true and accurate as at the date of this agreement and will be so at Completion.
